Section 17 of the Companies Act, 2013 — "Copies of Memorandum, Articles, etc., to be given to members"
📜 Text of Section 17:
"Every company shall, on being so requested by a member, send to him within seven days of the request and on payment of such fees as may be prescribed, a copy of the following documents:
(a) the memorandum;
(b) the articles; and
(c) every agreement and every resolution referred to in sub-section (1) of section 117, if and so far as they have not been embodied in the memorandum or articles."*
✅ Key Points:
Right of Member: Any member (shareholder) of the company can request these documents.
Time Limit: Company must send the documents within 7 days of receiving the request.
Fees: Member must pay the prescribed fee (as per Companies (Registration Offices and Fees) Rules, 2014).
