Section 18 of the Companies Act, 2013

Section 18 of the Companies Act, 2013 deals with conversion of companies already registered under the Act.

📘 Section 18 – Conversion of Companies Already Registered

(1) A company of any class registered under this Act may convert itself into a company of another class by:

Altering its Memorandum and Articles of Association in accordance with the provisions of this Act; and

Filing an application to the Registrar along with the required documents.

(2) Upon satisfaction, the Registrar shall close the former registration and:

Issue a fresh certificate of incorporation in the new form.

From the date of issue, the company shall be deemed to be registered as per the new classification (e.g., private to public or vice versa).

(3) The conversion shall not affect:

Any debts, liabilities, obligations, or contracts incurred before conversion.

All rights and obligations continue as if the conversion had not occurred.

✅ Example:

If a private company wants to become a public company, it can apply under Section 18 by altering its MoA & AoA, and then getting approval and a fresh certificate from the Registrar.
