β Legal Research & Strategy

Preparing statements of claim/defense and evidence.
Liaising with arbitrators and opposing counsel.

As part of the M&A (Mergers & Acquisitions) team, your responsibilities include:

Drafting and reviewing:
Share purchase agreements (SPAs)
Shareholdersβ agreements (SHAs)
Business transfer agreements (BTAs)
Due diligence reports
β Due Diligence
Conducting legal due diligence on target companies (title verification, compliance, contracts, etc.).
Identifying legal risks and suggesting mitigations.
β Regulatory & Compliance Work
Advising on regulatory approvals (e.g., RBI, SEBI, CCI, ROC).
Filing documents with authorities and coordinating with compliance teams.
β Negotiations & Closings
Participating in deal negotiations with clients, counterparties, and regulatory authorities.
Managing transaction timelines, documentation, and execution.
