1. Role Overview
The Legal Associate position under Adv. Raghumanyu Taneja is primarily focused on investment funds and asset management law. The role is ideal for lawyers with 3–5 years of post-qualification experience (PQE) who are looking to work in a Tier 1 law environment dealing with regulatory and fund structuring matters.
The position is based in Mumbai and involves handling both advisory and transactional legal work for clients in the financial and investment sector.
2. Key Responsibilities
Fund Structuring & Regulatory Compliance
Advising clients on the formation, structuring, and operation of investment funds such as Alternative Investment Funds (AIFs), private equity funds, and mutual funds.
Ensuring compliance with SEBI regulations, RBI guidelines, and other applicable Indian laws.
Advising on fund governance, investor agreements, and regulatory filings.
Drafting & Negotiation
Drafting key legal documents such as trust deeds, partnership agreements, investment management agreements, subscription agreements, and private placement memorandums (PPMs).
Negotiating fund agreements and related documents with investors, co-investors, and other stakeholders.
Client Advisory & Research
Conducting in-depth legal research on Securities laws, investment regulations, and recent market developments.
Providing strategic advice to clients on investment structures, risk management, and compliance issues.
Due Diligence & Documentation Review
Performing legal due diligence for fund transactions.
Reviewing contracts, agreements, and regulatory filings to identify potential legal risks.
Collaboration & Reporting
Coordinating with other team members, senior lawyers, and clients for smooth execution of fund-related work.
Preparing legal opinions, reports, and summaries for clients.
3. Eligibility & Skills Required
Experience: 3–5 years of PQE in investment funds, asset management, or regulatory law.
Knowledge: Strong understanding of SEBI regulations, AIF Regulations, Mutual Fund regulations, and other relevant Indian laws.
Skills:
Excellent drafting and negotiation skills.
Strong analytical and research abilities.
Good client-handling and communication skills.
Education: Law degree (LLB) from a recognized university; additional qualifications in finance or corporate law are a plus.
