Decentralised Finance Contagion Banking Spillover Spain Eu Law

1. What is DeFi Contagion to Banking?

DeFi protocols (Aave, Compound, Uniswap, MakerDAO) are not isolated. Contagion happens via 3 channels:

  1. Stablecoin Channel: Banking deposits -> Stablecoin reserves -> DeFi collateral. If bank fails, stablecoin depegs, DeFi liquidations cascade.
  2. Interconnected DeFi: Ripple effects from Terra collapse - 2023 study "Interconnected DeFi: Ripple Effects from Terra Collapse" shows spillover effect and information flow across protocols.
  3. Crypto Lending Channel: EBA says when service providers give customers access to DeFi lending protocols, that is banking risk.

IMF notes: Interconnections between stablecoin issuers, custodians, exchanges, funds amplify contagion risks from digital assets to traditional finance.

2. EU Legal Framework - Current

MiCA Regulation (EU) 2023/1114 - Status Quo:

  • Recital 22: When crypto-asset services are provided in a fully decentralized manner without any intermediary, they do not fall under scope of MiCA. This is the DeFi loophole.
  • Recital 5: Recognizes contagion risks.
  • Result: Truly decentralized protocols have little recourse, while Commission is studying future regulation. Report due by June 30, 2027.

MiCA 2.0 - 2026 Reform Push - France Proposal 21 Oct 2026:

France's four top authorities - Treasury, AMF, Banque de France, ACPR - filed joint package to revise MiCA:

  • Make crypto-asset service providers (CASPs) liable for certain DeFi incidents when platforms actively facilitated access
  • Require platforms to vet DeFi protocols, monitor for vulnerabilities, support certification of protocols and smart contracts
  • Voluntary certification for advanced wallets integrating DeFi
  • Transfer supervision of "significant CASPs" from national regulators to ESMA, lower threshold from 15M daily active users
  • Expand MiCA oversight to crypto lending and borrowing with leverage caps and DeFi certification

EBA Position (Sept 2026): European banking regulator wants crypto lending to be regulated under MiCA with leverage caps and cyber resilience certification for DeFi protocols.

3. Spain Specific Rules

Spain applies MiCA directly without transposition, plus:

  • CNMV Circular: CASPs must be registered, DeFi front-ends considered CASPs if they have central operator.
  • Tax Agency AEAT Aggressive Stance: Most controversial in EU.

Spanish Tax Case - $10.5 Million DeFi Loan Tax (2025):

Facts: Investor declared all crypto transactions and paid $5.84M taxes. Used crypto as collateral to obtain loan through DeFi protocol (e.g., Aave). No profit, no conversion.

AEAT imposed additional €9-10.5M tax, treating use of assets as collateral to obtain loan as capital gains taxable event.

Tax consultants say interpretation lacks economic and legal basis and contradicts definition of capital gains in Spanish and EU law. Basis was use of DeFi protocol without generating profit.

Impact: Case could set dangerous precedent, pushing DeFi innovation offshore. Spain taxing DeFi loan asset movement as realized gains. Currently under appeal, expected to reach Audiencia Nacional.

4. Major Case Laws of Contagion -> Banking Spillover

1. Terra / Luna Implosion - May 2022 - THE Catalyst for MiCA

Algorithmic stablecoin UST depegged from $1 to $0.02, LUNA from $119 to $0.00001. $40B wiped.

Contagion:

  • 3 Arrows Capital (3AC) held UST -> insolvent
  • Voyager, Celsius held 3AC loans -> insolvent
  • Banks: Signature, Silvergate, SVB had exposure to Voyager/Circle

EU accelerated MiCA because of this. MiCA Recital explicitly mentions Terra.

Case Law: SEC v Terraform Labs (2023) US SDNY - $4.47B judgment against Do Kwon for fraud. EU still has no direct enforcement but uses as example of systemic risk.

2. Silicon Valley Bank - Circle USDC Depeg - March 2023 - Classic Banking -> DeFi -> Banking Loop

  • Circle held $3.3B of USDC reserves at SVB.
  • SVB collapsed, USDC fell to $0.88 depeg.
  • DeFi protocols using USDC as collateral (MakerDAO had 50% USDC) faced mass liquidations.
  • DeFi contagion spilled back to banks: Signature Bank had $10B crypto deposits linked to Circle.

MiCA Response: Circle wants EU to ease MiCA bank deposit rules for stablecoins, arguing mandatory deposits expose issuers to banking risks. MiCA requires 30% reserves for non-significant and 60% for significant tokens at commercial banks.

Circle argued forcing e-money token issuers to keep set portion at commercial banks increases banking credit and counterparty exposure.

Current EU Classification: On 14 Oct 2026, EBA designated USDC as EU's first significant e-money token under MiCA among 45 notified tokens. From 12 Nov 2026, EBA takes direct prudential supervision, French regulators retain other oversight. Dual supervision.

ESCB proposal: Drop bank deposit floor altogether, propose minimum daily and weekly liquidity buckets starting from 40% daily floor for significant stablecoins.

3. FTX Collapse - Nov 2022 - €8B spillover to EU banks

FTX held €1.5B at Deltec, Moonstone Bank. EU banks with exposure: Solarisbank Germany.

Case Law: FTX - US Bankruptcy Delaware + EU claims - EU customers classified as unsecured creditors.

4. EU Banking Authority - USDC Significant Token Supervision (Oct 2026)

First application of contagion framework. USDC's classification triggers:

  • Additional own funds requirements
  • Liquidity stress testing
  • Interoperability requirements to prevent concentration

5. How EU Courts Will Decide DeFi Spillover Liability

New French liability test (proposed):

  1. Did CASP actively facilitate access to DeFi protocol? (Listing, front-end, yield promotion)
  2. Did CASP vet protocol? (Audit, bug bounty)
  3. Did CASP monitor for vulnerabilities?

If yes to 1 and no to 2/3 -> CASP liable for DeFi incident.

Spain: AEAT currently treats DeFi loan as disposal, but EU principle of economic reality says no gain = no tax. Expected to be overturned.

6. Compliance for Banks in Spain / EU Dealing with DeFi

Under current MiCA + EBA guidelines:

  • If you provide access to DeFi lending protocols, you are in scope - need MiCA CASP license
  • Stablecoin reserves: Avoid concentration in single bank >20% - diversify
  • Smart contract certification: Voluntary but recommended by France
  • Disclosure: Must warn customer DeFi is not covered by deposit guarantee (FGD in Spain)
