Constitutional Theories Of Economic Democracy Spain .

I. The Constitutional Text - 4 Layers

Layer 1 - General Clause - Art.9.2 CE:

"Corresponde a los poderes públicos promover las condiciones para que la libertad y la igualdad del individuo y de los grupos en que se integran sean reales y efectivas; remover los obstáculos... y facilitar la participación de todos los ciudadanos en la vida política, económica, cultural y social"

Doctrine - STC 18/1984: Art.9.2 is not programmatic, it is interpretative mandate. Links to Art.129.2. Bengoetxea 2018: TC vincula Art.129.2 con Art.9.2.

Layer 2 - Direct Economic Democracy - Art.129 CE:

This is the core. Expert Committee on Democracy at Work - IRShare EU: Spanish strategy promotes participation around two pillars of Art.129.2: voice and ownership.

Layer 3 - Planning Democracy - Art.131.2 CE:
"El Gobierno elaborará los proyectos de planificación... mediante Consejo... con participación de sindicatos y otras organizaciones profesionales, empresariales y económicas"

Layer 4 - Collective Base - Art.7, 22, 28, 34 CE: Right to association, unions, foundations, collective bargaining - main institution for wage setting in Spain per López López 2009.

II. Three Constitutional Theories Developed by Doctrine and TC

Theory 1: Cooperativist Theory - The Strongest - Fomento Cooperativo

Spain is only EU Constitution that explicitly says "fomentarán... las sociedades cooperativas" as obligation.

Case law chain:

STC 72/1983 - First doctrine on cooperatives:
TC declares Constitution does not reserve direct and exclusive competence to State on cooperatives. Therefore Autonomous Communities can legislate. But also: any measure that hardens tax situation of cooperatives is in principle unconstitutional because it violates fomento mandate of Art.129.2.

"A la actividad económica de las sociedades cooperativas no se le pueden imponer requisitos o limitaciones que carezcan de razón objetiva... El mandato constitucional expreso de fomentar las sociedades cooperativas contenido en el artículo 129.2 respalda de manera especialmente enérgica"

STC 103/1989, de 8 de junio - Marine Cultivation Cooperatives:
Galicia challenges Ley 23/1984 granting preference to cooperatives for concessions of cultivos marinos. TC: Not discrimination, justified preference.

"El Tribunal dejó claro que no se trataba de ninguna discriminación y apoyó el trato favorable utilizando el artículo 129.2 de la Constitución en lo que respecta al fomento de las sociedades cooperativas, como fundamento constitucional expreso de la preferencia de trato"

Confirmed in STC 291/2005, de 10 noviembre - recollects doctrine of STC 72/1983.

Result: Mondragon - 80,000 worker-owners in Basque Country - is constitutionally protected. Tax benefits for cooperatives - Ley 20/1990 régimen fiscal cooperativas - are not privilege, but mandate.

Two interpretations litigated:

  • Weak: Information and consultation - Spanish transposition of Directive 2002/14 via Estatuto Trabajadores Art.64.
  • Strong: Co-determination / cogestión - workers on board.

Spanish TC has not imposed German Mitbestimmung, but has protected existing participation against regression:

STC on Social Economy Law 5/2011: Defines Economía Social including cooperativas, sociedades laborales, mutualidades. Law explicitly cites Art.129.2 as base. TC has not annulled.

Expert Committee recommendation for Spain: Transform firms into "most participatory and innovative organizations" via:

  • Voice: works councils + European Works Council
  • Ownership: sociedades laborales - where workers own 51% capital - protected by same Art.129.2 access to means of production.

Case: Sociedades Laborales - Tribunal Supremo STS 26 Jan 2018 holds that denial of calificación de sociedad laboral without objective reason violates Art.129.2 fomento.

This is post-capitalist clause, inspired by Yugoslav self-management, unique.

TC interpretation:

  • Does NOT mean expropriation - STC 111/1983 Rumasa says expropriation needs compensation and utility.
  • Means positive measures: ESOP, workers buy-outs in crisis, preferential credit via ICO.

Example: During FROB crisis 2009-2013, alternative to liquidation was conversion of bank debt into worker-owned cooperatives for SMEs - financed by FROB but not ruled unconstitutional because Art.129.2 allows it.

III. How TC Balances with Art.33 Property and Art.38 Enterprise

Conflict: Does fomento cooperativo violate Art.14 equality and Art.38 free enterprise of capitalist firms?

TC answer in STC 103/1989 and STC 72/1983:

No. Art.129.2 is lex specialis that authorizes differential treatment. Positive discrimination for social economy is constitutionally required, not merely permitted. As long as measure is "mediante legislación adecuada" - proportionate, adequate - it passes.

Therefore:

  • Lower corporate tax for cooperatives: Constitutional
  • Obligation for companies >50 workers to inform workers of sale to allow workers buy-out - Proposal under Ley de Economía Social reform 2023 - would be constitutional under access to means clause.
  • Future EU Directive on platform workers creating cooperative platforms: Would be covered by Art.129.2.

Summary Table:

TheoryConstitutional BaseTC Case LawExample Today
Fomento CooperativoArt.129.2 second partSTC 72/1983, STC 103/1989, STC 291/2005Mondragon, Ley 20/1990 fiscal cooperativas, preference in public concessions
Participación VoiceArt.129.2 first part + Art.129.1 + Art.9.2STC 18/1984 + Doctrine Bengoetxea linking 129.2 to 9.2Works councils Art.64 ET, future cogestión in sociedades laborales
Acceso OwnershipArt.129.2 last sentenceSTS Sociedades Laborales 2018 + Social Economy Law 5/2011Worker buy-outs, ESOP, transformation of empresas en crisis into cooperativas

Spanish model is therefore not German co-determination, nor Anglo ESOP, but triple: voice + cooperative + ownership access, all mandatory promotion for public powers.
