Constitutional Status Of Autonomous Economic Agents Spain .
I. Constitutional Basis - Why Spain Needs Autonomous Economic Agents
Art 97 CE: "El Gobierno dirige la política interior y exterior, la Administración civil y militar..."
Classic hierarchical administration.
Art 103.1 CE: "La Administración Pública sirve con objetividad los intereses generales..."
Requires objectivity, impartiality, not political direction.
Art 103.3 + Art 103.2: Reserve of law for creation of administration.
The Tribunal Constitucional solved contradiction by creating doctrine of Administración independiente:
STC 14/1986, de 31 enero: First recognition that Constitution allows administration not hierarchically dependent on Government when impartiality requires it. Based on Art 103.1 objectivity.
STC 32/1981 and STC 76/1983 - LOAPA: Autonomous communities can create their own economic administration but must respect bases of State.
STC 178/1989: Explicitly says legislator can create entities with functional autonomy to guarantee neutrality in economic regulation.
STC 135/2017 - Key case for economic AAI: Tribunal Constitucional declared constitutional the independence of CNMC and other market regulators, saying independence is required by EU law via Art 93 CE and by Art 103.1 CE good administration. Said Government direction under Art 97 has exception for technical market supervision.
II. Status of Central Autonomous Economic Agents - The AAI
Regulated by Ley 40/2015 de Régimen Jurídico del Sector Público, Art 109-110 defines AAI, and Ley 3/2013 CNMC, Ley 13/1994 Autonomía Banco de España, RDL 4/2015 CNMV.
Constitutional characteristics established by Tribunal Constitucional and Supreme Court:
1. Banco de España - The Paradigmatic Agent
- Constitutional basis: Art 149.1.11 CE - State competence on monetary system and bases of credit ordering + Art 93 CE transfer to ECB + Art 135 CE stability.
- STC 48/1988 - Cajas de Ahorros: Court said regulatory and supervisory powers over credit entities belong to State for market unity, but Banco de España exercises them with autonomy. Granted regulatory powers to CCAA only for regional specificity.
- STC 18/2011: Upholds autonomy of Banco de España vs Government. Says monetary policy transferred to ECB, but prudential supervision is independent function required by EU SSM Regulation. Government cannot give instructions on supervisory decisions.
- Law: Art 7.4 Ley 13/1994: "El Banco de España no podrá solicitar ni aceptar instrucciones del Gobierno..." This is direct constitutional consequence of EU Treaty Art 130 TFEU independence - incorporated via Art 93.
Case law: STS 05/06/2019 - Banco de España liability: Supreme Court held Banco de España is independent but liable under Art 106.2 CE for malfunctioning supervision. Independence does not mean irresponsibility.
2. CNMV - Comisión Nacional del Mercado de Valores
- Basis: Art 149.1.11 + Art 149.1.13 - bases and coordination of general economic planning + Art 51 consumer protection.
- STC 133/1989: Said securities market supervision requires technical independence to protect investors - Art 51 CE legitimate aim.
- STS 2015-2020 on CNMV sanctions: Supreme Court says CNMV sanctioning power is constitutional but must respect Art 25 CE - principle of legality and typicity. Circular cannot create new infractions.
3. CNMC - Comisión Nacional de los Mercados y la Competencia
Most litigated.
Basis: Art 149.1.13 + Art 38 freedom of enterprise requires neutral arbiter.
STC 135/2017, de 16 noviembre - Constitutional challenge to Ley 3/2013 CNMC: Government of Catalonia challenged centralization of regulators into CNMC violating autonomy. Tribunal Constitucional:
- Declared CNMC constitutional.
- Said creation of super-regulator is legitimate to ensure market unity Art 139 CE and EU requirements.
- But said CCAA retain executive powers in certain markets - e.g., transport, audiovisual - where competence is shared.
- Key doctrine: Autonomous Economic Agents must have: a) legal personality own, b) functional autonomy, c) independence of members with fixed term and irremovability, d) budget autonomy, e) accountability to Parliament not Government.
CJEU C-424/15 Ormaetxea Garai + C-240/18 Conexión Canaria: Spanish Supreme Court referred question: Can CNMC be independent if Government appoints members? CJEU said EU law requires guarantees against political influence - dismissal only for serious cause, cooling-off periods.
4. AIReF - Autoridad Independiente de Responsabilidad Fiscal
- Basis: Art 135 CE as reformed 2011 + Organic Law 6/2013.
- STC 215/2014: Upheld AIReF creation as development of Art 135. Said independent fiscal oversight is constitutional requirement of budgetary stability. AIReF can evaluate CCAA budgets even though CCAA have financial autonomy Art 156 - because stability is superior constitutional good.
III. Status of Autonomous Community Economic Agents
Second meaning - economic agents of CCAA.
Constitutional distribution:
- State: Art 149.1.11 bases of credit, banking, insurance. Art 149.1.13 bases and coordination of general economic planning.
- CCAA: Art 148.1.13 promotion of economic development within State objectives. Statutes of Autonomy expand.
Key case law:
STC 48/1988 - The Cajas Case: Landmark. Tribunal Constitucional granted regulatory and supervisory powers over cajas de ahorros to CCAA because cajas have regional specificity and importance, but said solvency, accounting, and prudential bases remain State. This created dual supervision that led to crisis.
STC 14/1986 - Cooperatives: CCAA can regulate credit cooperatives with regional scope.
STC 211/2012 - Catalan financial institutions law: Court annulled Catalan attempt to create own deposit guarantee fund separate from national FGD - violates market unity Art 139 and State base Art 149.1.11.
STC 134/2011 - Savings Banks reform: Upheld RDL 11/2010 that forced cajas to become banks - State can restructure regional economic agents for stability under Art 149.1.13.
IV. Common Constitutional Regime for All Autonomous Economic Agents - 5 Principles
From Ley 40/2015 Art 109 and constitutional doctrine:
1. Reserva de Ley: Creation only by law - Art 103.2. STC 35/1984.
2. Functional Autonomy, Not Political Independence: They are part of State but not Government. Government cannot give instructions on core regulatory function. STC 135/2017.
3. Democratic Control: Must render accounts to Cortes Generales, not Government. President of CNMC, Banco de España appears annually before Parliament. Art 109.2 Ley 40/2015.
4. Judicial Review: Full review under Art 106.1 CE + Art 24 effective protection. Independence does not exclude judicial control. STS 2018 - CNMC fine annulled for lack of motivation.
5. Liability: State liable under Art 106.2 CE for damages caused by autonomous agents - e.g., Banco de España supervision failure, CNMV failure to suspend trading.
V. Current Tension: EU Requirement vs Spanish Constitution
EU law now requires independence for banking, securities, data, competition regulators via Art 93 CE:
- SSM Regulation Art 19 - ECB independence
- MiFID II Art 67 - CNMV independence
- Directive 2019/1 - ECN+ - CNMC independence
Spanish Tribunal Constitucional in Declaration 1/2004 on EU Constitution said Art 93 allows transfer but with counter-limits: respect for social state Art 1.1, fundamental rights Art 10-55, and autonomy of CCAA.
So status today: Autonomous Economic Agents are constitutionally hybrid: Spanish constitutional creatures under Art 103.1 but EU-mandated independent authorities under Art 93. Their independence is both constitutional requirement and EU obligation.
