1. Definition of Trade Secrets
Nepalese law does not have a standalone statute explicitly titled “Trade Secrets Law.” However, the protection of trade secrets is recognized under general intellectual property principles and commercial laws.

2. Legal Framework Relevant to Trade Secrets in Nepal
Contract Law (Contract Act, 2056 [2000 AD])
Trade secrets are primarily protected through contracts such as non-disclosure agreements (NDAs) or confidentiality agreements. Employers and businesses can prevent disclosure or misuse of trade secrets by contractual terms.
Industrial Enterprise Act, 2049 (1992)
This act includes provisions on industrial property but does not specifically regulate trade secrets. However, it supports protection of industrial innovation and proprietary business information indirectly.
Company Act, 2063 (2006)
Contains general provisions related to the fiduciary duties of company officers and employees to maintain confidentiality.
Civil and Criminal Laws
Breach of confidentiality or misuse of trade secrets could lead to civil liability for damages or criminal liability under laws dealing with fraud, breach of trust, or unfair competition.
3. Protection Mechanism
Confidentiality Agreements:
Most protection of trade secrets depends on enforceable contracts between parties.
