Ev Battery Plant Incentive Escrow .
I. What is EV Battery Plant Incentive Escrow?
3-layer security structure used to prevent subsidy misuse:
Layer 1: Performance Security / Bid Security
Before bidding for 5 GWh capacity, bidder must furnish Performance Bank Guarantee [PBG] of 2-5% of project cost. In India ACC PLI, minimum net worth, minimum investment Rs 1,100 crore required. Manufacturing facility to be commissioned within 2 years, incentive disbursed thereafter over 5 years.
Layer 2: Incentive Escrow Account
Government does not pay upfront. Incentive is performance-linked: eligibility tied specifically to beneficiary's sales of ACC cells manufactured at approved facility, disbursed over 5-year Performance Period 1 Jan 2025 to 31 Dec 2029. Up to Rs 2,000 per kWh sold, linked to specific energy density and domestic value addition.
Escrow holds:
- Government's committed incentive pool - Rs 18,100 crore in India
- Company's PBG and sales proceeds
- Disbursement only on certification of 25% DVA in 2 years, 60% in 5 years
Layer 3: Clawback Escrow
If company fails DVA, misses commissioning, or misrepresents sales, incentive already disbursed is clawed back from escrow + PBG invoked.
This is different from capital subsidy - unlike capital subsidy paid upfront, ACC PLI scheme is performance-linked, no incentive payments had been disbursed until performance met.
II. Types of Escrow in EV Battery Plants
A. India - ACC PLI Escrow [MHI Guidelines]
- Collection Escrow: Manufacturer has to first open escrow account for collection of excise duty and operation including withdrawal - principle from Wp(C) No.354/2014 vs Union of India 9 Oct 2018
- Subsidy Escrow: Incentive parked in escrow, released on sales audit by IFCI [Project Management Agency]
- Offtake Escrow: OEM payments for batteries routed through escrow to secure lender
B. US - IRA 45X Advanced Manufacturing Production Credit + DOE Loan
- DOE LPO loan for battery plant requires Incentive Proceeds Escrow - tax credits monetized and parked
- IRA Sec 30D critical mineral requirement - if battery fails US/FTA sourcing, credit clawed back
C. EU - IPCEI Batteries Escrow
- State aid paid to escrow agent, released on milestone: pilot line, first commercial cell, recycling rate
III. Legal Framework and Case Laws
1. When Can Government Demand Escrow Deposit? - Supreme Court Limit
Case: Supreme Court - Direction To Deposit Proceeds In Escrow Warranted Only In Limited Circumstances - Justices Manoj Misra Bench 2023-24
Held: A direction to deposit proceeds in an escrow account cannot be issued as a matter of routine in arbitration dispute. Such arrangement is ordinarily warranted only where underlying contract providing for escrow is subsisting or where there is material to show party receiving money is likely to divert it and lacks sufficient assets to satisfy award.
Application to Battery: Government cannot ask battery company to park all revenue in escrow unless PPA/PLI agreement explicitly provides. Escrow must be contractual.
2. Escrow Attachment Protection - Sub-contractor Share Cannot be Attached
Case: Abhi Engineering Corporation Pvt Ltd v Union of India - Bombay HC WP(L) 5842/2020 decided 9 Feb 2021
Held: Where proceedings under Section 74 CGST Act initiated against principal contractor only, sub-contractor's share in escrow account cannot be attached since no action taken against sub-contractor and sub-contractor was not taxable person. Ordered 97% transfer from escrow to petitioner.
Application: In battery gigafactory, cathode/anode supplier's share in main plant escrow cannot be attached for OEM's GST default. Critical for supply chain financing.
NCLT Guwahati - Catalyst Trusteeship Ltd Vs JUD Cements Ltd
Escrow Account Restrictions Do Not Extinguish Financial Debt Default. Debentures subscribed, amount credited to escrow account maintained in corporate debtor's name. Subsequent payments or appropriations from escrow do not retrospectively cure default which had already occurred on due date.
3. Performance Security and Promissory Estoppel - Retrospective Withdrawal Illegal
Case: Shree Sidhbali Steels Ltd And Others v State Of UP And Others - Supreme Court 20 Jan 2011
Facts: Notification No.1208/UPPCL-V-1974/1204/2000 dated 7 Aug 2000 denied hill development rebate promised to industrial units in Uttarakhand.
Held: Supreme Court established limits on government's power to withdraw industrial incentives. Promissory estoppel applies - if industry alters position based on promised rebate, state cannot withdraw retrospectively.
Case: Orissa High Court - Retrospective Subsidy Withdrawal Violates Article 14
Court explicitly determined canceling financial incentives retrospectively constitutes arbitrary state action under Article 14 equality before law.
Application to EV Battery: Once ACC PLI letter of award issued and company invests Rs 1100 cr, government cannot cancel or reduce incentive pool retrospectively. This is why India uses escrow - money is legally committed.
4. Clawback as Penalty - When Unenforceable
Case: GWC Property Group Pty Ltd v Higginson & Ors QSC 264 - Queensland Supreme Court
Held: Incentive clawback provisions contained in incentive deed triggered by tenant's breach of lease were unenforceable penalties.
Rule for Battery: Clawback must be genuine pre-estimate of loss, not penalty. In ACC PLI, clawback formula = incentive disbursed - proportionate DVA achieved. If government tries to clawback 200% as punishment, courts will strike down.[2014]
US Parallel: Merit Management Group, LP v FTI Consulting, Inc., 2018 WL 1054879 - US Supreme Court unanimous 27 Feb 2018
Made bankruptcy claw-backs easier but protected financial institutions that facilitate transfers under Sec 546(e). For battery plants: If battery startup goes bankrupt, DOE can claw back IRA grant, but escrow bank that merely held funds is protected safe harbor.
5. EV-Specific Funding Freeze Case
Case: State of Washington et al. v US DOT et al., No.2:25-CV-00848-TL, WD Wash 23 Jan 2026
District Judge Tana Lin held Department of Transportation and Federal Highway Administration acted unlawfully when they froze funding under National Electric Vehicle Infrastructure. Terminated grants supported hundreds of energy transition projects in 16 states.
Principle: Executive Order on Unleashing American Energy pausing IRA disbursement violates Administrative Procedure Act if escrowed funds already obligated. Obligation in escrow = protected property right.
6. Endow Power Battery vs Union of India - Delhi HC 8 Aug 2012 - WP(C) 4541/2012**
Purpose of import incentive policy was to give incentive and encouragement to new entrepreneurs establishing small scale industries. Court protected incentive for battery manufacturers importing components with phased indigenization 62% import + 38% domestic.
IV. How Battery Incentive Escrow Works - Step by Step
- Bid: Company bids 10 GWh, submits PBG 5% to MHI via IFCI
- Financial Closure: Opens 3 escrow accounts: a) Performance Escrow with SBI, b) Subsidy Escrow with IFCI, c) Revenue Escrow with lenders
- Construction: 2-year deadline. Failure = PBG invocation
- Production: Must achieve 25% DVA in 2 years. Audit by ARAI + third party
- Sales: Each kWh sold, invoice uploaded to IFCI portal, incentive calculated up to Rs 2000/kWh, credited to Subsidy Escrow, then released to company after 60% DVA audit in 5 years
- Clawback Trigger: If DVA falls below 25%/60%, or plant not commissioned, IFCI instructs escrow agent to debit and refund to Consolidated Fund of India + blacklist
Key Contract Clauses to Draft:
- Escrow Agent duties: Safeguard funds and release only upon fulfillment of specific conditions outlined in escrow agreement such as mutual consent or fulfillment of contractual milestones
- No set-off: Government cannot set-off incentive against other tax dues unless escrow agreement allows
- Performance security cannot be retained after acknowledgement of due performance - Delhi HC Bharat Sanchar Nigam Ltd Vs Teracom Ltd
