Enforcement Of Foreign Arbitral Awards In Banking Disputes

Enforcement of Foreign Arbitral Awards in Banking Disputes - Part II of Arbitration Act

Governing Law: Arbitration and Conciliation Act, 1996, Part II, Sections 44-60.
Two Conventions enforced in India:

  • New York Convention 1958 - Sections 44-52 - 172 countries - Most banking awards
  • Geneva Convention 1927 - Sections 53-60 - Rare now

Banking disputes that go to foreign arbitration:

  1. ECB loan agreement with LIBOR clause - LMA standard - SIAC / LCIA arbitration London/Singapore
  2. Bank Guarantee / SBLC issued by Indian bank in favour of foreign party - invoked abroad
  3. ISDA Master Agreement for derivatives / forex - trading dispute
  4. Fintech cross-border payment failure

Step-by-Step Enforcement Procedure in India

Step 1: Application u/s 47 - Who can file? Where?

Award holder must file in High Court having jurisdiction over assets - Bombay HC for banks, Delhi HC for most. Produce:
a) Original / certified copy of award
b) Original arbitration agreement
c) Evidence proving foreign award - under Sec 44, award must be in country which is reciprocating territory under New York Convention - Gazette notification.

Step 2: Two-stage test by Court - Vijay Karia Framework

Supreme Court in Vijay Karia vs Prysmian Cavi E Sistemi SRL (2020) 11 SCC 1 - Created 3 buckets for Sec 48 objection:

Bucket 1 - Jurisdictional: Was there valid arbitration agreement? Proper tribunal? Award beyond scope? - Sec 48(1)(a),(b),(c)

Bucket 2 - Party Interest: Proper notice? Able to present case? - Sec 48(1)(b)

Bucket 3 - Public Policy: Is award opposed to public policy of India? Arbitrability? Fraud?

Court held minimal interference. Foreign award is already final. Cannot review merits.

Step 3: Sec 49 - Enforcement = Deemed Decree

If court satisfied, award is enforceable as decree of that court. Then execution under CPC Order 21 - attach bank accounts, etc.

Banking Specific Grounds and Case Laws

1. FEMA Violation is NOT Ground to Refuse Enforcement - Biggest Change 2020-2025

Banks always raised: Award violates FEMA because remittance abroad without RBI approval, share transfer pricing below FEMA valuation.

Vijay Karia (2020) SC: Award debtors argued enforcing share transfer at price below FEMA fair value violates exchange control and thus public policy. Supreme Court rejected:

Contravention of FEMA does not per se constitute public policy. FEMA is not a statute like NDPS. Violation can be regularized. It does not make award unenforceable.

SC upheld Delhi HC Cruz City (2017) - foreign award for damages enforceable even if inconsistent with FEMA.

Recent Clarification - GPE (India) Ltd vs Twarit Consultancy Services Pvt Ltd, SC Order 26 Aug 2025 - SLP(C) 6856/2023

Madras HC in 2023 held enforcement of foreign award awarding damages for breach of put option requires prior RBI approval citing FEMA concerns.

Supreme Court overruled: No prior RBI approval needed to satisfy arbitral award, whether domestic or foreign. Payment of damages under award does not require FEMA approval at enforcement stage. RBI approval, if any, is at remittance stage, and cannot be ground to refuse enforcement u/s 48. This ends the "two-step shuffle" where investors won case but money stuck at RBI.

This is directly applicable to banking: If foreign tribunal awards damages against Indian bank for wrongful invocation of BG / loan default, bank cannot say "need RBI approval to pay in USD, so refuse enforcement".

2. Bank Guarantee Independence - State Trading Corporation vs State Bank of India】 - Delhi High Court 6 March 2013

Facts: STC invoked BG, SBI refused saying underlying foreign arbitration pending in London.

Delhi HC affirmed DRT/DRAT: Bank guarantee is autonomous. Enforcement of foreign award directing payment under BG cannot be refused on ground that underlying contract is disputed. Recognized foreign judgment enforcing BG is valid.

3. Foreign Bank Guarantee Validity - Sepco Electric Power Construction Corp vs Power Mech Projects Ltd (2021 INSC 417) SC - 24 Aug 2021

Dispute: Arbitral award of Rs 142 crores. Award holder asked for Bank Guarantee from foreign scheduled bank under Sec 36(3) proviso to stay execution.

Opposite party argued foreign bank guarantee not valid.

Supreme Court Held: Irrevocable Bank Guarantee issued by foreign scheduled bank is valid under Arbitration Act for securing award amount. Supreme Court upheld validity of foreign bank guarantees in arbitration enforcement. Crucial for banking disputes where Indian company provides BG from HSBC London, Standard Chartered etc.

4. Conversion Date for Foreign Currency Awards - DLF Ltd vs Koncar Generators and Motors Ltd, 2024 INSC 593 SC

Classic banking problem: Award in USD/EUR/Croatian Kuna, but execution in INR. When to convert?

SC in DLF vs Koncar (2024) laid down twin principles:

Relevant date for conversion is date when award becomes enforceable under Sec 49 - i.e., when objections under Sec 48 are finally dismissed. Not date of award, not date of filing.

If amount deposited in court during pendency, conversion date for that deposited amount is date of deposit.

Applied in many banking cases - ECB loan award in USD.

5. Bias and Fraud - Very Narrow Ground - HSBC vs Avitel Post Holdings - 2023

Disputes under Share Subscription Agreement, HSBC invoked arbitration at SIAC. Award challenged alleging tribunal bias.

Supreme Court: Enforcement can be refused on bias only in exceptional circumstances. Minimal judicial interference.

6. Dena Bank (now Bank of Baroda) vs C Shivakumar Reddy - SC on Award as Debt under IBC

SC overruled NCLAT in Sushil Ansal vs Ashok Tripathi. Held: Foreign arbitral award after becoming enforceable under Sec 49 is a debt and decree-holder can file Sec 7 IBC against banking company? Actually can file insolvency against award debtor.

Means bank can use foreign award to trigger insolvency of borrower.

Grounds on which Enforcement CAN be Refused - Sec 48

For banking, successful objections are rare:

a) No valid arbitration agreement - Loan agreement had unilateral arbitration clause favouring bank - Indian courts now hold unilateral clause valid after 2023.

b) Incapable of being presented - Bank was under RBI moratorium and could not participate - need proof of denial of natural justice.

c) Public Policy - Fraud, Corruption, Arbitrability - Banking fraud with CBI case? Still enforceable unless award itself is induced by fraud. Booz Allen vs SBI Home Finance (2011) - disputes relating to rights in rem not arbitrable, but banking loan, guarantee, LC are rights in personam - arbitrable.

d) Subject matter not capable of settlement by arbitration - Example: RBI regulatory penalty cannot be arbitrated.

Practical Checklist for Bank / Borrower

If you are enforcing against Indian bank:

File Sec 47 in High Court where bank's head office/assets. After Sec 49 order, execute - attach Nostro account, but cannot attach CRR/SLR assets. Use Order 21 Rule 46A garnishee.

If you are Indian bank resisting foreign award:

Do NOT rely on FEMA/RBI approval - will fail after GPE (2025). Focus on Sec 48(1)(a) - no agreement, or Sec 48(2)(b) - fraud. Seek stay under Sec 36(3) by giving BG from foreign scheduled bank - Sepco case allows it.

Limitation: 12 years under Art 136 Limitation Act from when award becomes enforceable, not from award date - per Government of India vs Vedanta Ltd (2020).
