Electronic Administrative Proceedings - Finance in Spain - Procedimiento Administrativo Electrónico Tributario

Spain is the most advanced in EU for mandatory e-administration. Finance proceedings are 100% electronic for legal entities. Physical paper is invalid.

1. Legal Framework - 4 Layers

Layer 1: General Administrative Procedure - Ley 39/2015 and Ley 40/2015

  • Ley 39/2015, de 1 de octubre, del Procedimiento Administrativo Común de las Administraciones Públicas - regulates external relations between Administration and citizens, promoting an electronic and transparent administration. Came into effect 2 Oct 2016.
  • Ley 40/2015, de 1 de octubre, de Régimen Jurídico del Sector Público - internal functioning of administrations, electronic as normal and exclusive.

Key principles:

  • Art 6: Registro Electrónico de Apoderamientos - electronic power of attorney register
  • Art 9-12: Identification and electronic signature - DNIe, certificado digital, Cl@ve
  • Art 13-14: Rights - Right to communicate via Punto de Acceso General electrónico
  • Art 14.2: Obligation - Legal entities, entities without legal personality, professionals in mandatory association, public employees, and AEAT collaborators must relate electronically. No paper allowed.
  • Art 40-46: Electronic notifications

Layer 2: Tax Specific - Ley 58/2003 General Tributaria (LGT)

  • Art 45-47: Representación - power of attorney for tax formalities via Internet - there is an electronic power of attorney register for exclusive purpose of electronic actions before Tax Agency.
  • Art 99.5: Access to electronic files - if documents stored electronic, must be made available electronically.
  • Art 109-112: Notificaciones tributarias
  • DA 16ª: Utilization of electronic means - Orden EHA/2784/2009 regulates telematic filing of economic-administrative claims.

Layer 3: Identification Regulation

  • Ley 59/2003 firma electrónica
  • Orden HAP/800/2014 - specific rules on identification and authentication with AEAT - certificado FNMT, DNIe.

Layer 4: Ministry of Finance Sede Electrónica
All procedures Level 4: Online procedure - Power of attorney, Economic-administrative appeal against audit settlements (reclamación económico-administrativa), Motion for reversal of collection decisions, Certificate of debt for acquisition of business under Art 42.1.c LGT, etc.

2. How Electronic Financial Proceeding Works - AEAT

Step 1: Sede Electrónica - sede.agenciatributaria.gob.es
Entry into force 2016 of Law 39/2015 meant legal entities integrated into Mandatory Electronic Notification (NEO) system.

Step 2: DEH - Dirección Electrónica Habilitada única - DEHú
Unique enabled electronic address. Notifications made available at electronic headquarters. Obligation fulfilled by making notification available at electronic headquarters (Art 40.4 Ley 39/2015).

Step 3: Types of Proceedings Online:

  1. Gestión: Registration verification, checking tax obligations, rectification of self-assessments
  2. Inspección: Inspection proceedings - notifications, allegations via e-office
  3. Recaudación: Collection - Motion for reversal, deferment
  4. Revisión: Recurso de reposición (administrative appeal) - Resolución 11 Dec 2001 regulates telematic filing
  5. Económico-Administrativo: Reclamación ante Tribunal Económico-Administrativo (TEA) - independent from Tax Agency - Orden EHA/2784/2009 - must file telematically if obliged to receive electronically.

Step 4: Deadlines
10 days to access notification from DEHú. If not accessed, notification deemed rejected - but still valid and produces effects - starts deadline.

3. Case Laws - Critical for Finance

A. Electronic Mailbox Non-Access = Rejected Notification = Serious Infringement

TEAC Resolution 00/03869/2020 of 21 May 2021 - Central Economic-Administrative Court - Unifies Doctrine
Criterion: Having notification of a request for information deemed rejected as result of not accessing its content in terms provided for in regulation.
Facts: Taxpayer did not access AEAT electronic mailbox request for information.
Held: Negligence of Information Requirements received in electronic mailbox now considered serious infringement under Art 199 LGT. Penalty 50% to 150%. Taxpayer cannot argue lack of knowledge. Once notification placed in DEH, deadline to comply starts after 10 days even if not opened.
Practical: Check DEHú daily.

B. Paper Notification to Someone Registered for Electronic = Invalid

STSJ Madrid 498/2011, 7 June 2011 - Tribunal Superior de Justicia de Madrid
Court questioned practice of notifications at tax address of taxpayer who had registered with electronic notification system of Tax Agency.
Held: Electronic notification is beginning to be required of public administrations under penalty of considering notifications made by other means as invalid. If taxpayer is in NEO system, notification by paper at domicilio fiscal is invalid, does not interrupt prescription.

C. Constitutional Protection - Defect in Electronic Summons

STC 47/2019, 8 April 2019 - Tribunal Constitucional
Company condemned in employment lawsuit, held without representative appearing. Company was summoned through authorised electronic address (DEH).
Company filed amparo for violation of right to effective judicial protection (Art 24 CE).
Constitutional Court upheld amparo: Court must ensure effective knowledge, not just formal deposit. If electronic summons failed due to technical issues, or company proves no effective access, procedure violates fundamental rights. Must check sistema de avisos (email/SMS alert) was sent.
Lesson: Administration must prove notification was made available AND alert system functioned.

D. E-Invoices and Consumer Right to Paper

STS 2247/2024, 29 April 2024 - Supreme Court Administrative Section
Fine EUR 765,001 imposed by Junta de Andalucía on major telecom operator because T&C included clause limiting right to receive paper invoices.
Supreme Court upheld fine. Doctrine: Under Art 63.3 Consolidated Text General Law for Defense of Consumers and Art 9.2 RD 1619/2012 invoicing obligations, customer has right to receive paper invoice unless expressly consents to electronic. E-invoice requires explicit consent. Cannot impose e-invoice as default.

This is directly applicable to financial proceedings - AEAT cannot force natural persons (not obliged) to e-invoice.

E. Starting March 2024 - Electronic Service of Lawsuits on Companies

Amendment to Art 155 LEC - Civil Procedure Law - Effective 20 March 2024
Businesses can receive lawsuit notifications electronically from initial summons. Enables initial notifications to be made electronically, opposed to previous requirement for physical in-person. Enhances diligence - companies must monitor DEHú daily for lawsuits.

F. Electronic Signature and Digital Evidence

STS 2047/2015 - Supreme Court
Sets criteria for accepting digital evidence and electronic signature - qualified electronic signature under eIDAS has same value as handwritten. AEAT certificate valid.

4. Nullity Causes in Electronic Finance Proceedings

  1. Notification via paper when electronic mandatory - Art 40.1 Ley 39/2015 - null
  2. Failure to provide access to electronic file - Art 99.5 LGT
  3. No audit trail of electronic signature
  4. Lack of identification under HAP/800/2014

If any of these occurs, act can be annulled before TEAC or Contentious-Administrative Court.

5. Practical Compliance Checklist for Companies in Spain

  1. Obtain Certificado Digital FNMT or DNIe - register at DEHú - https://dehu.redsara.es
  2. Subscribe to email/SMS alerts - but legally notification valid even if alert fails (except amparo per STC 47/2019)
  3. Check DEHú daily - 10 calendar days rule - Weekends count?
  4. Grant electronic power of attorney (Apoderamiento Apud Acta electrónico) via Registro Electrónico de Apoderamientos
  5. All filings via Sede Electrónica - Level 4 procedures - Use form 01 - Reclamación económico-administrativa telemática
  6. Keep CSV - Código Seguro de Verificación for each notification to prove access
