Digital Financial Assets Regulation By Cbr
1. Evolution of Laws
Stage 1 - Federal Law No. 259-FZ dated 31.07.2020 "On Digital Financial Assets, Digital Currency..." - Effective 01.01.2021
First framework. Defined:
Digital Financial Assets (DFA): Digital rights which include:
- Monetary claims (like bonds tokenized)
- Ability to exercise rights to securities
- Right to participate in capital of non-public JSC
- Right to demand transfer of securities
Legally recognized as digital rights under Art.128 Civil Code RF - i.e., property rights.
Digital Currency: Defined as aggregate of electronic data (not monetary unit of RF or foreign state) that can be used as investment but banned as means of payment inside Russia.
259-FZ prohibited use of crypto for payment for goods/services inside Russia, but allowed ownership and trading in gray zone.
Stage 2 - Digital Ruble Law - Federal Law No. 340-FZ dated 24.07.2023 + 339-FZ
Putin signed digital ruble into law. Created third form of money alongside cash and non-cash. CBR is principal operator of Digital Ruble Platform, responsible for safeguarding assets. No one else can call its platform "digital ruble platform".
Mandatory rollout: 12 Systemically Important Banks + large retailers >120M rubles revenue must accept digital ruble from 01.09.2026, all banks by Sept 2028, small businesses by Oct 2027.
Stage 3 - New Crypto Market Law - Federal Law No. 282-FZ dated 04.08.2024 - Effective 01.09.2026
This replaces major parts of 259-FZ. This is the current active law as per CBR guidance updated 12 Oct 2026.
Key changes:
- Legalizes regulated crypto trading, custody, cross-border settlement through CBR-licensed intermediaries
- Creates registers for: Crypto exchanges, Digital depositories, Brokers, Organized trading platforms. CBR keeps registers, conducts inspections, issues mandatory orders.
- Sberbank and VTB were first cleared as exchange operators and depositories on 06.10.2026.
- Retail cap: Non-qualified investors can buy up to 300,000 rubles (∼$3,700) per year per intermediary of most liquid coins after passing test. Qualified investors no cap.
- P2P Ban: Under Art.30 of 282-FZ, direct crypto transfers between individuals allowed only until 01.07.2027. After that, all trades must flow through licensed broker/exchange operator. P2P to non-custodial wallets banned both ways.
- Experimental Legal Regime (EPR): Since Sept 2024, allows use of digital currencies for cross-border foreign trade settlements to bypass sanctions - legal under EPR.
2. CBR as Regulator - Powers
CBR is the mega-regulator:
- Licensing: Maintains register of DFA issuance operators, DFA exchange operators, crypto exchanges, digital depositories.
- Rulemaking: Issues mandatory regulations for issuance, accounting, circulation.
- Supervision: Can inspect, request data, ban advertising. Since 2026, CBR requires banks to include crypto and DFA holdings in balance certificates issued to customers - inclusion in payment accounts and deposits certificates.
- Monetary Policy: Digital ruble platform operated solely by CBR. CBR decides remuneration (currently 0%), limits, fees.
- Prohibition Enforcement: Under Part 5 Art.31 of 282-FZ, transfers of digital currency between individuals via non-custodial system prohibited. CBR clarified on TASS: No direct crypto transfers between individuals after deadline.
3. Three Different Assets - Do Not Confuse
| Asset | Law | Is it legal tender? | Can be used for payment inside Russia? | Regulator |
|---|---|---|---|---|
| DFA | 259-FZ, 282-FZ | No | Yes, if decision on issue allows, but not as currency substitute | CBR |
| Digital Currency (Bitcoin, USDT etc) | 259-FZ, 282-FZ | No | No - banned under Art.14 | CBR + Rosfinmonitoring |
| Digital Ruble | 340-FZ | Yes - third form of ruble | Yes, mandatory acceptance by large retailers from 2026 | CBR as operator |
4. Case Laws - How Courts Treat DFA
Case 1: Dmitry Timchenko v. Borrower - USDT Property Rights Case (2023-24) - Landmark
Facts: Moscow resident Dmitry Timchenko lent 1000 USDT in 2023. Borrower did not return. He sued.
District Court, Appellate Court, Supreme Court of Russia all rejected.
Ratio: Fiat-pegged stablecoins like USDT do not fall under category of DFA in Russian law and are not subject to digital currency circulation rules. Therefore court held no protected property right for USDT lending under 259-FZ. Court said claim in foreign stablecoin not protected as DFA.
This case created uproar - experts said gap in law. New 282-FZ now recognizes cryptocurrencies as property that can circulate through regulated infrastructure to close this gap.
Case 2: Crypto as Property in Bankruptcy - Arbitrazh Courts 2021-22
Several arbitrazh courts (Moscow Arbitrazh Case No. A40-12639/2016 etc) held that cryptocurrency is property and must be included in bankruptcy estate. Debtor must disclose wallets. This follows Art.128 Civil Code classification as property rights.
Case 3: Enforcement of Foreign Arbitral Awards Where Debtor Holds Crypto
Supreme Court Commercial Division ruled enforcement of arbitral award possible at place where debtor's assets located, even if debtor's location known. Burden to prove assets are in Russia lies on applicant. Relevant for crypto hidden in Russian exchanges.
Case 4: Civil Servants Declaration Case (2020)
After 259-FZ, Ministry of Labor clarified from 10 Aug 2020 all civil servants must declare digital currency in income declarations under anti-corruption law.
5. Key Compliance Rules for Business
If you issue DFA:
- Need Information System Operator licensed by CBR
- Decision on issuance must specify rights, redemption, price
- Offering only to qualified investors unless prospectus registered
If you trade Crypto as resident after 01.09.2026:
- Must go through CBR-licensed broker/exchange/depository
- Non-qualified test mandatory
- Annual cap 300k rubles per intermediary
- P2P allowed only till 01.07.2027, after that illegal
- Cross-border settlement allowed only under EPR for foreign trade
If you are retailer:
- Must accept digital ruble from Oct 2026 if revenue >120M rubles, or face consumer protection liability.
Penalty: Under Code of Administrative Offences Art.15.49 etc + Criminal Code Art.172 (illegal banking) - up to 7 years if large scale illegal crypto exchange operation without license.
Future: CBR aims for full digital ruble for Moscow Metro by 2028, and full ban on non-custodial transfers to push all flow through state-controlled Sberbank/VTB infrastructure - this is the "walled garden" model.
