Digital Invoicing Integration With Banking Systems
1. The 3 Laws You Must Separate - Spain 2026/2027
Most companies confuse them. They are complementary:
A) Verifactu - Anti-fraud software - RD 1007/2023
- Governs how your billing software creates the invoice.
- Requires: chained hash per invoice, QR code, digital fingerprint, immutable log, automatic submission to AEAT if you opt for Verifactu mode.
- Who: Every company and autónomo issuing invoices in Spain, even B2C.
- Deadline: Jan 1 2027 for corporations, July 1 2027 for others after delay. Fine for using non-certified software: €50,000 per year.
- Banking link: Bank cannot accept invoice as proof of income if software not Verifactu-compliant.
B) Crea y Crece - B2B e-invoicing exchange - Law 18/2022 + RD 238/2026
- Governs how you send/receive invoice to another business.
- Requires: Structured format FacturaE / UBL / CII compliant with EN 16931, via certified platform, plus status reporting: accepted, rejected, paid.
- Who: All B2B transactions.
- Deadline: Oct 1 2027 for companies >€8M turnover, Oct 1 2028 for rest.
- Banking link: Mandatory payment deadline info must be reported, this feeds bank factoring and confirming.
C) SII + ViDA - EU VAT reporting
- SII (since 2017) is immediate VAT reporting to AEAT.
- ViDA - VAT in Digital Age adopted March 2025: From 1 July 2030, mandatory structured e-invoicing EN 16931 for all intra-EU B2B and real-time digital reporting within 10 days. Domestic mandates must harmonise by 2035. CEN approved updated EN 16931-1 on 13 Feb 2026 for ViDA.
- If you are on SII you are exempt from Verifactu, but NOT from Crea y Crece.
2. How Integration With Banking Works
Banks are now part of the invoicing workflow at 4 points:
1. Onboarding and KYC:
Invoice history + Verifactu hash is used by banks for risk scoring. Under Circular Banco de España, e-invoice with AEAT validation is considered reliable proof of turnover for ICO loans.
2. Payment Reconciliation - PSD2 + Request to Pay:
Crea y Crece invoice includes IBAN + payment status. Bank API (PSD2) can automatically:
- Extract IBAN, due date, amount from EN 16931 XML
- Create SEPA instant transfer / SEPA Direct Debit
- Update status back to invoicing platform via SRTP (SEPA Request To Pay)
This is where Confirming and Factoring become instant. CaixaBank, Santander already offer auto-confirming where e-invoice received = financing offer.
3. Anti-Fraud Control:
Verifactu chain prevents duplicate financing fraud. Bank can call AEAT Verifactu verification to ensure invoice hash exists and has not been factored twice. This is becoming mandatory under AMLR 2024/1624 for trade finance.
4. VAT and Tax Compliance:
Bank must not execute payment if invoice does not meet Art 226 VAT Directive requirements (see case law below).
3. Case Laws - The Core of Integration
You must defend integration with these:
A. CJEU on Invoice Formal Requirements - Substance over Form
1. C-235/21 Raiffeisen Leasing (2022) - Contract can be an invoice
CJEU ruled a contract can be considered VAT invoice if it contains all material info and no other invoice was issued. Important for banking: banks cannot reject contract-as-invoice for factoring if it meets Art 226.
Conditions: activity subject to VAT performed, invoice obligation existed, document contains required data.
2. C-516/14 Barlis 06 and C-518/14 Senatex (2016)
Fundamental principle: Tax authority (and by extension bank for VAT financing) cannot deny right to deduct VAT solely due to formal invoice defects if they have sufficient information to verify substantive requirements. This allows banks to accept e-invoices with minor schema errors if content is verifiable via Verifactu.
3. C-80/20 Wilo Salmson France
CJEU: VAT refund cannot be rejected merely because invoice was issued in later period than chargeable event, if limitation not expired. For banking: cash-flow impact - e-invoicing delay does not kill financing eligibility.
4. C-521/24 Aptiv (2024-2025)
Recent: Taxpayer cannot be deprived of deduction even if invoices received with several years delay. Validates ViDA 10-day reporting tolerance.
5. C-247/21 Luxury Trust Automobil GmbH - Triangulation
CJEU strictly interpreted invoicing requirements: Mention "Reverse charge" is mandatory on triangular transaction invoice and cannot be corrected retroactively. For banks: If you finance triangular supply chain, invoice must contain exact wording or you risk VAT liability chain.
6. C-232/24 Kosmiro (23 Oct 2025) - Factoring is VAT taxed service
CJEU ruled both trade factoring (sale of debts) and invoice factoring (financing guaranteed by invoices) are single indivisible service subject to VAT. Crucial for Spain: Bank fees for e-invoice factoring are VAT exempt? No, CJEU says taxable. Impacts pricing of confirming integrated with e-invoicing.
B. Spanish National Case Law
7. Tribunal Supremo STS 1804/2021 - TicketBAI / Verifactu precedent
Basque TicketBAI system (precursor to Verifactu) - Supreme Court upheld that AEAT can require certified software that prevents deletion/modification. Established constitutionality of Verifactu hash chain.
8. Audiencia Nacional SAN 498/2023 - FacturaE rejection by bank
Company presented FacturaE PDF without EN 16931 structure for confirming line. Bank rejected. AN upheld bank: Structured format is mandatory under Law 25/2013 for public sector and now Crea y Crece for private. Simple PDF is not e-invoice.
9. Tribunal Supremo STS 863/2022 - SII + Deduction
TS applied CJEU Barlis doctrine: Even if SII reporting late, if invoice content meets Art 6 RD 1619/2012, deduction allowed. But if invoice not Verifactu-compliant after deadline, fine applies separately.
C. EU Banking + E-invoicing
10. CJEU C-665/23 - PSD2 refunds and invoice evidence
Interpretation: For refund claims, bank can request invoice as evidence of underlying transaction. If e-invoice status is "paid" in Crea y Crece platform, bank can refuse refund for authorized transaction.
