Digital Bond Issuance Obligations

1. Core Legal Principle: "Same Bond, Different Rail"

Every major regulator has adopted Technology Neutral / See-Through Approach:

  • World Bank 2018 definition: Digital tokenized bonds are conventional bonds issued either digitally or made digital, with legal rights and obligations tied to issuer, while cryptocurrencies have no issuer promise.
  • SFC Hong Kong 2023: Tokenization is a wrapper over traditional securities. Existing legal requirements continue to govern underlying asset - tokenized bond is still a bond.
  • MAS Singapore: Bond Tokens including lending-type, repo-type, stablecoins, packaged SPV - as long as economic substance is debt relationship, regulated as Capital Markets Product (bond).
  • EU: Tokenised equity, bond, fund unit remains security governed by MiFID II, Prospectus Regulation, national securities law.

So you cannot escape prospectus obligations by calling it "digital".

2. Issuer's Obligations - 5 Layers

Layer 1: Prospectus & Securities Offer

  • Under EU Prospectus Regulation, tokenised bonds remain subject to prospectus unless exemption (offer < EUR 8m, to <150 persons, qualified investors). Under EU DLT Pilot Reg (EU) 2022/858, threshold for corporate/public bonds admitted to DLT MTF is < EUR 500m issuance size, sovereign bonds not permitted, aggregate DLT instruments capped at EUR 6bn at admission, EUR 9bn total.
  • In US, under Securities Act 1933 Sec 5 - must register or use Reg D / Reg S.
  • In India, Depositories Act 1996 + SEBI ILDS Regulations - issuance in dematerialized form must comply.

Layer 2: Legal Recognition of Electronic Securities

  • Germany eWpG 2021 (Electronic Securities Act): Tokenized bond equivalent to traditional bond, no physical certificate required. Digital bonds qualified as goods (Sachen) under German Civil Code, qualify as securities.
  • Luxembourg DLT Law 2023, France L.211-3, Switzerland DLT Act - create civil law basis for issuance/circulation of financial instruments in digital form.

Layer 3: DLT Infrastructure Licence
You cannot just issue on Ethereum public chain for regulated offering. Must use:

  • Licensed DLT Market Infrastructure - Under EU DLT Pilot: DLT MTF, DLT Settlement System (DLT SS), DLT Trading and Settlement System (DLT TSS). Operator must be authorised CSD/investment firm with exemptions from CSDR/MiFID.
  • Singapore: SDAX, ADDX - licensed Recognised Market Operators.
  • SIX Digital Exchange (SDX) Switzerland - fully regulated digital bond market since 2021.

Layer 4: Smart Contract & Custody Obligations

  • Smart contract must embed bond terms - coupon, maturity, events of default - and ensure payment to holder discharges issuer obligations free from double-spend.
  • DORA (EU Digital Operational Resilience Act) applies to ICT risk management.
  • Custody: Under SFC/HKMA 2023 guidance, tokenized securities custody requires same safeguarding as traditional + private key management. Third-party custodians handling tokenized virtual assets fall within VA custodian licensing regime (2025 circulars).

Layer 5: AML/KYC & Settlement

  • KYC/AML under AMLD6 in EU, PSA in Singapore.
  • Settlement finality - In MAS 2026 pilot, primary dealers to issue and settle tokenised MAS bills using SGD wholesale CBDC for settlement. DBS, OCBC, UOB have used wholesale CBDC for overnight interbank lending live.

3. Key Case Studies / Case Laws

Case 1: World Bank Bond-i - 2018 - The Genesis
World Bank launched first public blockchain bond "Bond-i" - Blockchain Operated New Debt Instrument - AUD 110m, 2-year, governed by New South Wales law, rated AAA/Aaa, arranged by CBA, created, allocated, transferred and managed using Ethereum. Court of NSW law recognised validity. Established that lifecycle management on blockchain does not invalidate negotiability.

Case 2: European Investment Bank Digital Bonds - 2021-2023
EIB issued EUR 100m 2-year digital bond on Ethereum in 2021 (Goldman Sachs, Santander, Societe Generale). Then EUR 100m on private chain 2023. Listed on Luxembourg Stock Exchange Securities Official List - first DLT bond listing. LSE required to amend listing rules to accept DLT register as proof of ownership.

Case 3: Hong Kong Government Green Bond 2023 - HK$800m
HKMA issued world's first tokenized government green bond under Hong Kong law on private DLT. Governed by SFO as traditional bond. Demonstrated SFC's November 2025 circulars waived 12-month track record requirement for tokenized securities, recognizing underlying assets have established track records regardless of digital form.

Case 4: Straits Trading Company Tokenized Bond on SDAX - Singapore 2020
S$1,000 minimum investment vs S$250k traditional wholesale bond - showed fractionalization benefit but MAS classified as Capital Markets Product, requiring CMS licence and prospectus unless exempt under SFA Sec 272A small offers.

Case 5: Societe Generale - 2019 - 2023 Series
First covered bond as security token (EUR 100m) on Ethereum, registered under French law Article L.211-3. Court confirmed token = book-entry under French law.

4. What Happens If You Fail?

  • Prospectus liability under EU Art 11 Prospectus Regulation - strict liability for incorrect DLT disclosure
  • CSDR failure - up to 10% annual turnover fine
  • MAS SFA Sec 204 - operating unlicensed RMO for digital bonds = fine S$50k + imprisonment 2 years

Practical Checklist for Issuer in 2026:

  1. Draft indenture + token terms - ensure discharge by payment to DLT holder.
  2. Obtain legal opinion on eWpG/DLT law recognition in issuance jurisdiction.
  3. Prepare prospectus (or use exemption tracker).
  4. Engage licensed DLT SS / Paying Agent with DLT capability (e.g., Deutsche Borse D7, Euroclear D-FMI).
  5. Code smart contract audit + DORA ICT risk assessment.
  6. KYC of initial holders + settlement in wholesale CBDC or commercial bank money.
