Digital Bond Issuance Legal Finality Spain Eu Law
Digital Bond Issuance Legal Finality - Spain & EU Law
Legal Finality is the single most important concept in digital bonds: At what moment is the transfer of a bond on a blockchain irrevocable and enforceable against third parties and in insolvency? In traditional bonds, finality comes from Iberclear entry. In digital bonds, it must come from DLT.
Spain solved this in 2023, aligning with EU Pilot Regime. It is now one of the most advanced jurisdictions.
I. EU Framework - Before Spain
1. EU DLT Pilot Regime - Regulation (EU) 2022/858 [Applicable 23 March 2023]
Pilot regime allows market infrastructures to trade and settle tokenized securities without a traditional CSD.
Creates 3 DLT infrastructures:
- DLT MTF - Multilateral Trading Facility on DLT
- DLT SS - Settlement System on DLT
- DLT TSS - Trading and Settlement System combined
Limits: Bonds < €1bn per issuance, Total market cap of DLT MI < €6bn (can go to €9bn). Expiry initially 2026, now being made permanent.
Crucial point on Settlement Finality:
Recital 13 of Reg 2022/858 says: A DLT securities settlement system cannot qualify as securities settlement system designated under Directive 98/26/EC on Settlement Finality, and an exemption from rules on settlement finality in Regulation 909/2014 should be available, subject to compensatory measures to mitigate risks arising from insolvency, as insolvency protection measures under Directive 98/26/EC do not apply.
Translation: Under Pilot, finality is contractual, not statutory, unless national law grants it. DLT SS must implement contractual finality rules and insolvency protection measures contractually. This is the gap Spain filled.
2. Settlement Finality Directive (SFD) 98/26/EC + CSDR 909/2014
Traditional finality: Once entry made in system designated under SFD (Iberclear in Spain), it is final and protected even if participant goes insolvent same day. DLT systems under Pilot were initially NOT designated, so needed new law.
New proposal 2024 - Settlement Finality Regulation (SFR) - to make it DLT-neutral, allow DLT-based systems to be designated.
3. MiFID II + eIDAS
MiFID defines financial instrument. eIDAS Regulation 910/2014 provides trust services for electronic signatures - needed for issuance deed.
II. Spain Law - Law 6/2023, 17 March, on Securities Markets and Investment Services (LMVSI)
This is the cornerstone. Enacted 17 March 2023, published in BOE 18 March, replacing Royal Legislative Decree 4/2015.
What it changed for Digital Bonds:
Article 6-11 LMVSI - New Representation of Securities:
Old law: Securities represented only as:
a) Physical certificates (títulos)
b) Book-entry (anotaciones en cuenta) in Iberclear
New law Article 11: Third form added:
c) Representation by means of DLT or other similar technologies, and other systems based on distributed ledger technology.
All financial instruments that are issued, registered, transferred or stored using DLT will be subject to LMVSI. Security tokens are not a self-standing category - where based on economic substance they qualify as financial instruments, they fall under LMVSI and MiFID.
Key Legal Innovations for Finality:
1. Entidad Responsable de la Inscripción y del Registro (ERIR) - Entity Responsible for Registration:
Under new law, for DLT securities, you must appoint an ERIR - equivalent to CSD for traditional bonds. ERIR is responsible for maintaining the ledger, ensuring integrity, and granting legal finality. Must be registered with CNMV and in Commercial Registry.
First real issuance: Reental - Dec 29, 2025 - first tokenized issuance of bonds for purchase of property in Spain under Law 6/2023. Required registration both in commercial register and in official register of CNMV of figure of ERIR who is responsible for intermediating the issuance.
2. Public Deed Requirement:
Art 6 LMVSI maintains: Obligation to grant public deed of issue (escritura pública) before Notary and file with Commercial Registry still applicable for Spanish issuers even for digital bonds. However, obligation to publish announcement in BORME before notes can be released is removed - faster issuance.
3. Legal Finality Moment:
Under Spanish Civil Code and LMVSI Art 12: Transfer of DLT security is effective against third parties when:
- Inscription in DLT system managed by ERIR is made, AND
- ERIR validates it according to its rules.
This entry has same effect as entry in Iberclear. It provides erga omnes effect and insolvency protection if ERIR rules define moment of irrevocability and are approved by CNMV - thus complying with compensatory measures required by EU Pilot Reg.
4. Tokenization Model:
Spanish market chose dual model:
- Token is representation of security, not security itself
- Legal form is still "anotación en cuenta en DLT" - but law establishes legal framework for issuance of electronic securities, eliminating requirement for physical certificates.
III. Case Laws & Market Issuances - Spain
CASE 1: BME, BBVA and IDB - First Regulated Bond in Spain Registered with Blockchain (2020)
Project before Law 6/2023. BBVA acted as active bookrunner, digital custodian, tokenizer. Used private Hyperledger. Issue: Not fully end-to-end DLT bond because current regime did not expressly cover that possibility. Bond still settled in Iberclear, blockchain used only as mirror.
Lesson that led to Law 6/2023: Without explicit legal recognition, you cannot have end-to-end DLT finality. Spain passed Law 6/2023 to fix this.
CASE 2: Urbas Grupo Financiero - MARF Bond Program (Jan 2023)
Cuatrecasas advised Urbas on registering bond program on Spanish Alternative Fixed-Income Market (MARF) with max outstanding €200M. Traditional issuance but tested new MARF rules post Law 6/2023.
Shows that even non-DLT bonds now benefit from simplified issuance (no BORME publication).
CASE 3: Reental - First Tokenized Bond Issuance under Law 6/2023 (Dec 2025)
First issuance fully under Art 11 LMVSI. Used ERIR model. CNMV approved prospectus for tokenized debt.
Legal finality achieved: Entry in ERIR's DLT register = transfer of ownership, same as Iberclear.
This is cited as proof that Spain now has end-to-end DLT finality.
CASE 4: EU Case Law on Settlement Finality - BNY Mellon v. Lehman Brothers (2010) and DLT implications
English High Court and ECJ interpretation of SFD: Finality protected even if underlying transaction void, if entry made before insolvency. This principle now contractually applied to DLT SS under Pilot. Spanish CNMV requires ERIR rules to state exact moment of finality (e.g., block confirmation) to mimic SFD protection.
CASE 5: France vs Spain Comparison - Societe Generale Forge - First DLT Bond on Public Blockchain (2023)
SG issued €10M green bond on Ethereum under French law (Law 2017-1718 recognises blockchain for unlisted securities). Spain followed French model but went further by including listed securities and ERIR concept. Both require settlement finality via designated system. Spanish courts will look to French case for insolvency protection interpretation.
IV. How Finality Works Practically - Spain 2025 Structure
- Issuer grants escritura pública before Notary - includes DLT technical specs
- Files with Registro Mercantil + appoints ERIR
- ERIR registers issuance on permissioned DLT (e.g., BME's DLT platform)
- CNMV approves prospectus
- Legal finality: Investor A transfers to B - when transaction validated by ERIR nodes and written to ledger (typically 2 confirmations), ownership transfers. If A goes insolvent 1 second after, transfer remains valid if ERIR rules state finality at validation moment - protected under Spanish insolvency law Art 12 LMVSI.
Under EU Pilot, if DLT SS is not designated under SFD, Spanish law provides statutory backing via ERIR approval, satisfying compensatory measures for insolvency risk.
V. Risks Remaining
- Cross-border finality: If Spanish digital bond transferred to German investor using different DLT, which finality law applies? Rome I + SFD conflict-of-law not yet harmonized - DORA II proposal to fix.
- €1bn limit per bond under Pilot - large sovereign issuances cannot yet be fully DLT.
- Public deed still required - not fully native digital, adds cost.
Spain is now pioneer in EU - Law 6/2023 expressly recognised ability for digital bonds to be issued whilst ensuring compatibility with EU Pilot Regime. This is exactly what Clifford Chance noted in 2023 review.
