ENERGY AND FINANCIAL REGULATION

1. Introduction

Energy and financial regulation are closely interconnected because modern energy systems require enormous amounts of capital for generation plants, electricity networks, renewable-energy projects, storage facilities, pipelines and other infrastructure. Financial regulation determines how this capital is raised, invested, priced and supervised, while energy regulation determines whether energy companies can recover their costs and earn an appropriate return.

Thus, energy and financial regulation refers to the legal and regulatory framework governing the financial structure, investment, funding, pricing, financial stability and economic conduct of participants in energy markets. The relationship is particularly important for electricity utilities because tariff decisions directly affect their revenues, creditworthiness, borrowing capacity and ability to finance future infrastructure.

2. Financial Viability of Energy Utilities

Energy regulation must maintain a balance between consumer affordability and the financial sustainability of utilities. If electricity tariffs are excessively high, consumers suffer and energy poverty may increase. However, if tariffs are kept artificially below the cost of providing electricity, utilities may become financially unstable.

Another important issue concerns the regulatory asset base. Regulators may permit utilities to recover investments in infrastructure over long periods through regulated tariffs.

The regulatory asset base normally represents qualifying capital invested in electricity infrastructure. Regulators may allow an authorised rate of return on that investment.

This is an important authority demonstrating the relationship between energy regulation and utility finance.

The dispute concerned NERSA's approval of an additional 1.4% electricity tariff increase for Eskom under its Regulatory Clearing Account mechanism. The litigation required consideration of the Multi-Year Price Determination Methodology and the extent to which Eskom could recover revenue and cost variations through tariffs.

The Supreme Court of Appeal explained that the tariff methodology pursued several financial and regulatory objectives, including ensuring Eskom's sustainability, limiting excessive or inadequate returns, providing incentives for investment, promoting tariff stability and allocating commercial risk between Eskom and consumers.

The case demonstrates an essential principle of energy-financial regulation: tariff regulation involves allocation of financial risk between utilities, investors and electricity consumers.

It also shows that specialist regulatory decisions remain subject to administrative-law review even though courts recognise the expertise of specialised regulators.

At the High Court stage, industrial electricity consumers challenged NERSA's tariff decision and argued, among other things, that the regulatory methodology had not properly been followed. The applicants were businesses directly affected financially by the increased electricity charges.

The litigation illustrates how tariff decisions can simultaneously affect utility revenue, industrial competitiveness, consumer expenditure and infrastructure financing.

7. Financial Regulation and the Energy Transition

The transition toward low-carbon energy has expanded the importance of financial regulation. Governments increasingly seek to redirect investment from carbon-intensive infrastructure toward renewable energy, storage and modern electricity networks.

Financial regulators may therefore interact with energy policy through sustainability disclosure, climate-related financial-risk management, green-finance standards and investment rules.

However, regulators must also guard against greenwashing, where financial products or investments are presented as environmentally sustainable without sufficient factual basis.

8. Energy Companies and Financial Distress

Financial regulation is also important when utilities become heavily indebted or insolvent. Financial distress in an ordinary company primarily threatens shareholders and creditors, but financial collapse of a major electricity utility can threaten the entire economy.

Energy companies may therefore require special restructuring arrangements, government guarantees, emergency financing or regulatory intervention. This creates tension between ordinary principles of corporate finance and the public-service character of essential energy infrastructure.

9. Conclusion

Energy and financial regulation are inseparable because energy infrastructure cannot operate without sustainable financing. Energy regulators determine tariffs, permissible revenues, investment returns and cost recovery, while financial law governs the mechanisms through which capital is raised and financial risks are managed.

The central regulatory challenge is to maintain a balance between financial sustainability, investment incentives, consumer affordability, efficiency and energy security. NERSA v Borbet demonstrates this relationship particularly well: tariff regulation is not merely about setting electricity prices but about distributing financial risks and costs among utilities, investors and consumers while preserving the long-term viability of the electricity system.

Therefore, energy financial regulation should ultimately be understood as a system for ensuring that energy infrastructure remains financially viable without transferring unjustified financial burdens to consumers.
