Employment Contract Termination Rules .

LAYER 1: What Type of Termination Is It?

Under law, every termination falls in one of 5 categories:

1. Termination Simpliciter: Contract ends by notice as per appointment letter. For workmen, still has to comply with ID Act.
2. Retrenchment: Under Section 2(oo) of Industrial Disputes Act, 1947 - termination by employer for any reason whatsoever, otherwise than as a punishment. This is the widest definition.
3. Dismissal / Discharge for Misconduct: Punishment after domestic enquiry.
4. Termination during Probation / Fixed-Term Expiry
5. Constructive / Automatic termination: Abandonment, superannuation, death.

LAYER 2: Statutory Conditions You Must Comply

A. If employee is a WORKMAN under ID Act, 1947:
Applies to all except those in managerial / administrative capacity drawing > Rs.10,000 and doing mainly managerial work.

Section 25F - Mandatory for anyone with 240 days continuous service in last 12 months:

  1. One month notice OR wages in lieu of notice
  2. 15 days salary per completed year as retrenchment compensation
  3. Notice to appropriate Government in prescribed form
Failure of ANY ONE = Retrenchment void ab initio.

Section 25N - For establishments with 100+ workmen: Need prior permission from Government 90 days before retrenchment. Constitutional validity upheld in Workmen of Meenakshi Mills Ltd. v. Meenakshi Mills (1992)

Section 33(2)(b) - During pendency of industrial dispute: Cannot dismiss / terminate without approval of Tribunal. In Duncan Engineering Ltd. v. Ajay Shelke, Bombay HC 2021 and UP Industrial Disputes Act case, SC 31-01-2025 - Employers cannot terminate workers during industrial disputes without permission. Termination without it is void.

B. If employee is under Shops & Establishments Act (State):
Most states - e.g. Delhi Shops Act Sec 30, Maharashtra Shops Act Sec 66, TN Shops Act Sec 41(1)

  • Permanent employee cannot be terminated without reasonable cause and one month notice or pay in lieu + enquiry.
  • Air France case under TN Shops & Establishments Act, Sec 41(1) - termination required reasonable cause and notice.
  • Manish Gupta v. PayPal India Pvt Ltd., Delhi HC 2022: IT employee terminated without enquiry - held illegal, Shops Act applies to IT sector.

C. Contractual Notice:
Even if ID Act complied, you must pay notice as per appointment letter. Union of India v. Shammi Bhan, SC 1998 - permanent employees cannot be terminated abruptly or arbitrarily, even if contracts stipulate notice or pay in lieu, unless statutory provisions allow it.

LAYER 3: Mandatory Procedure - Principles of Natural Justice

Indian courts have made audi alteram partem a constitutional right.

Case 1: D.K. Yadav v. J.M.A. Industries Ltd., (1993) 3 SCC 259 - The Bible for Termination
Facts: Workman absent, employer struck off name without notice.
Held: SC held termination without giving opportunity of hearing violates Article 14 and 21. Even if employer has right to terminate, right to be heard must be given. Automatic termination clause for absence is illegal.

Case 2: Managing Director, ECIL v. B. Karunakar, (1993) 4 SCC 727
Enquiry Officer's report must be supplied to delinquent employee before punishment, to make representation on punishment. Failure = violation of natural justice.

Case 3: State of Uttarakhand v. Sureshwati, SC 20 Jan 2021
Important exception: SC held dismissal without domestic enquiry can be justified by employer by leading fresh evidence before Labour Court. But risk is high - Labour Court will conduct full trial.

Case 4: SC: Employee Can't be Dismissed for Charges Not in Notice - Jharkhand Teachers case, 2024
Supreme Court ruled employee cannot be dismissed on charges never mentioned in show-cause notice. New charges cannot be added without notice.

LAYER 4: Leading Case Laws by Situation

1. On Retrenchment Definition:
State Bank of India v. N. Sundara Money, 1976 INSC 3 (Justice Krishna Iyer): Widest interpretation. Even termination of a temporary employee for 240 days without compliance is retrenchment. Court determined termination constituted retrenchment under Sec 2(oo) and employer was obligated to pay compensation under Sec 25F.

Mohan Lal v. Bharat Electronics Ltd., 1981: 240 days continuous service includes Sundays and holidays. If workman works 240 days, Sec 25F mandatory.

Bhavnagar Municipal Corporation v. Salimbhai Umarbhai Mansuri, 2013 INSC 507: Fixed-term contract expiry is NOT retrenchment if it falls under Sec 2(oo)(bb) - i.e., non-renewal of contract. This is why you must have clear fixed-term clause.

2. On Termination Without Notice / Without Enquiry:
VMWARE Software India Pvt. Ltd. v. Ashish Kumar Nath, 2022 LLR 866 (Karnataka HC): Termination of underperformer for non-cooperative attitude without domestic enquiry held illegal. Performance must be proved in enquiry.

Delhi High Court - Fabricated Documents case, 2024: Termination without any cogent reason cannot be sustained. Court ordered reinstatement with 20% back wages when termination was arbitrary, without inquiry, without notice.

3. On Proportionality:
Bharat Forge Co. Ltd. v. Uttam Manohar Nakate, (2005) 2 SCC 489: Single abusive act may justify dismissal if it is serious. But SC in Surekha Domaji Bele v. MSEDCL, 2026 INSC 639 - SC set aside dismissal as wholly disproportionate and ordered fresh show-cause on punishment. Punishment must fit misconduct.

4. On Probation:
MD Gujarat Water Resources Dev. Corpn. Ltd. v. Kanhaiyalal (2005): Termination of probationer without notice on ground of long absence held illegal. Even probationer needs notice and enquiry if termination is stigmatic.

Final Compliance Checklist for Employer Before Terminating

  1. Classify employee: Workman or non-workman? Shops Act applicable?
  2. 240-day check: If yes, Sec 25F compensation + notice + Form.
  3. 100+ strength: Sec 25N permission required?
  4. Dispute pending: Sec 33 approval required?
  5. Misconduct: Issue Charge Sheet > Domestic Enquiry > Enquiry Report > Second Show-Cause > Final Order. Never add new charges later.
  6. Simpliciter / Poor Performance: Still give Performance Improvement Plan, show-cause, hearing, and pay notice + retrenchment compensation. Do not label poor performance as misconduct to avoid enquiry - courts see through it.
  7. Document: Notice period pay, Full & Final, Service Certificate, Form 16, PF.

Illegality Consequence: If termination violates Sec 25F, normal relief is reinstatement with continuity and back wages, or in recent trend, lump-sum compensation in lieu of reinstatement if industry relationship is broken - as held in Jayantibhai Patel v. Municipal Council, 2019.
