Emergency Credit Line Guarantee Scheme Controls .

Emergency Credit Line Guarantee Scheme (ECLGS) - Controls & Litigation Ecosystem

ECLGS was launched on 23 May 2020 under Atma Nirbhar Bharat as a 100% government guaranteed emergency credit line. It is not a bank scheme - it is administered by National Credit Guarantee Trustee Company Ltd (NCGTC), a wholly owned company of DFS, Ministry of Finance, as Trustee of Government of India.

It is now closed for fresh sanctions - new loans could be sanctioned only up to 31 March 2023. ECLGS 1.0 to 4.0 covered COVID stress. ECLGS 5.0 was approved on 5 May 2026 for West Asia crisis with Rs 2.55 lakh crore guarantee corpus.

1. Core Architecture & Controls

A. Guarantee Structure:

  • 100% guarantee for MSMEs, 90% for non-MSMEs and airlines
  • Guarantee fee: Nil for ECLGS 5.0
  • Guarantee covers amount in default, not entire exposure. Bank must invoke after NPA + legal recourse.

B. Eligibility Controls - Where Most Litigation Happens:

  1. Borrower Snapshot Control: Eligibility checked as of cut-off date - For ECLGS 1.0: total fund-based outstanding upto Rs 50 crore across all MLIs and DPD upto 60 days as on 29 Feb 2020. For ECLGS 5.0: Must be classified as 'standard' as on 31 March 2026
  2. MUDRA Reporting Control: For MUDRA borrowers, MLI must have reported account on MUDRA portal as on 31 March 2020/2021
  3. MLI Control: All Scheduled Commercial Banks, Financial Institutions and NBFCs in operation for at least 2 years. NBFC must be rated.
  4. End Use Control: Only for working capital / operational liabilities. Cannot be used to repay related party loans or evergreen existing NPAs. NCGTC FAQs require Management Certificate at time of lodgement for business loans availed by individuals for proprietorship
  5. Turnover / Loan Cap Control: Original ECLGS 1.0: MSME loan outstanding upto Rs 25 crore and turnover upto Rs 100 crore - Additional 20% of outstanding

C. Operational Controls by NCGTC:

  1. 100% Audit Trail: MLIs must upload loan data, sanction letter, utilization certificate to NCGTC portal. Any mismatch = guarantee void.
  2. No Evergreening Check: Auditor must certify that ECLGS funds were not used to service dues of same MLI - This became central in Gstaad Hotels case.
  3. Fraud Classification Control: If borrower account is classified as fraud, guarantee is revoked ab initio and MLI must refund claim with interest.
  4. Claim Lodgement Control: Two stage - Interim claim after 180 days of NPA, final claim after conclusion of recovery proceedings or 3 years. Guarantee invoked only after MLI proves due diligence.

2. Case Laws - How Courts Interpreted ECLGS Controls

Case 1: The Gstaad Hotels Litigation Cluster - The Landmark ECLGS + IBC Case

Facts: Gstaad Hotels Pvt Ltd and Neo Capricorn Plaza Pvt Ltd took 2017 financing of Rs 450 cr term loan + Rs 50 cr revolving from Piramal Finance / Omkara ARC. Later took 2 loans under ECLGS.

Chain of judgments:

  • NCLT Mumbai Bench-I C.P.(IB) No. 291/MB/2023 - Omkara ARC vs Gstaad Hotels [I.A. 3705 of 2023]: Financial creditor claimed default of Rs 665,74,77,237 as on 27 Feb 2023 including ECLGS facilities. NCLT observed "The stress, if any, of the financials of the Respondent, is induced by the Lender - Piramal, in view of the sums being granted under ECLGS Scheme, used to service its own debts". NCLT admitted CIRP on 8 July 2023.
  • NCLAT dismissal: Upheld NCLT admission.
  • Supreme Court - Deepak Raheja vs Omkara Asset Reconstruction (2025): SC held IU record of default enough for Section 7 IBC admission. The Court specifically noted facilities included term loans, Rolling Credit Facility and loans sanctioned under ECLGS. SC dismissed promoter appeals, upholding that ECLGS default date of 15.10.2022 constitutes valid default. SC also initiated probe into alleged AI-generated fake citations in promoter's rejoinder containing 100+ fabricated case laws.

Legal Principle Established: ECLGS loan is a separate financial debt under Sec 5(8) IBC. Default in ECLGS alone can trigger CIRP even if original loan is disputed.

Case 2: Mortgage vs Guarantee - NCLT Mumbai on ECLGS Security Structure

ARCIL vs Corporate Debtor - NCLT Mumbai 2024 - Rs 751 Crore Claim [Loan of Rs 250 Cr + Various ECLGS Facilities]:

Tribunal held that ECLGS agreements must be examined for covenant to pay. If agreement is mortgage simpliciter without clear personal promise to pay entire debt of third-party borrower, it cannot be treated as financial debt as guarantee.

Takeaway Control: If ECLGS is given to group entity mortgaging property for principal borrower's ECLGS, draft a specific "covenant to pay" clause, else claim fails in IBC.

Case 3: ECL Finance Ltd v Abhinav Mukherjee - SC 27 Oct 2026

**SC held lender with pervasive control over debtor's policy and channelising business interests is related party under IBC and cannot sit on CoC.

Relevance to ECLGS Controls: Many MLIs under ECLGS exercised pervasive control by monitoring end-use, requiring daily escrow, dictating vendors. This judgment limits MLI's ability to control and still claim independent financial creditor status if it becomes related party.

Case 4: Misuse / Diversion - Audits by NCGTC and CAG

CAG audit of ECLGS (2023) flagged:

  • Loans given to ineligible borrowers with >60 DPD
  • Evergreening: ECLGS used to pay overdue interest of same bank to avoid NPA
  • Result: NCGTC invoked clawback - 12,000+ claims rejected, banks asked to refund with 1-year MCLR + 1% penalty.

No published SC judgment on fraud yet, but NCLT Kochi Bench C.A. No. 44/KOB/2021 noted Operational Guidelines dated 30.05.2021 itself provide that guarantee stands void if MLI fails due diligence.

3. Litigation Checklist for ECLGS Cases

If you are Borrower:

  1. Challenge eligibility of cut-off - prove DPD calculation includes only fund-based, not non-fund.
  2. Argue end-use diversion by bank - if bank forced you to adjust ECLGS to its own overdue, invoke Gstaad Hotels observation.
  3. Default date - ECLGS has 1 year moratorium on principal, interest payable - default cannot be before moratorium ends.

If you are Bank / ARC:

  1. Ensure MUDRA reporting proof, turnover certificate, DPD certificate as on 29.02.2020 preserved - NCGTC will ask at claim stage.
  2. Keep utilization certificate + bank statement showing ECLGS not credited to same bank's loan account same day.
  3. Add explicit guarantee / personal undertaking clause, not just mortgage.

If you are NCGTC / Government:
Control is 3-tier: At sanction - automated portal check; At disbursement - Management Certificate; At claim - forensic audit + fraud registry check.
