Documentary Compliance Rejection Disputes - Trade Finance - Spain Banks

In Spain, documentary credit - carta de credito documentario - is not regulated by statute. It is governed by contract + international usage - UCP 600 (ICC Publication 600) + ISBP 821 + Spanish Commercial Code Art 57 and Civil Code Art 1258 good faith.

Spanish banks - Santander, BBVA, CaixaBank, Sabadell, Bankinter - act as issuing, confirming, or nominated banks. 90% of rejection disputes arise under UCP 600 Article 14 (Standard for Examination) and Article 16 (Discrepant Documents, Waiver and Notice).

1. The Spanish Legal Framework for Rejection

A. UCP 600 as Contractual Incorporation:
Under Spanish jurisprudence, UCP 600 is usos bancarios internacionales - incorporated by reference in credit text "Subject to UCP 600". Under STS 8 Feb 1994 and SAP Barcelona 15 Sept 2015, courts hold UCP overrides general banking conditions if conflict.

B. Principle of Strict Compliance - Autonomia del Credito:
Spanish courts apply English principle "Banks deal in documents, not goods". As stated in Trans-Lex principle applied by Audiencia Provincial Madrid: Documents in conformity cannot be rejected on grounds goods not delivered as per underlying contract. Only terms of documentary credit bind bank.

C. Spanish Bank of Spain Circular 5/2012 on Transparency: Bank must inform applicant of reason for rejection, but UCP 600 prevails for interbank relations.

2. When Spanish Bank Can Reject - Article 14 UCP 600

Under Art 14(d) UCP 600: Data in document, when read in context of credit, document itself, and international standard banking practice, need not be identical to, but must not conflict with, data in that document, any other stipulated document, or credit.

Spanish rejection disputes focus on 4 categories:

Type of DiscrepancySpanish Bank PracticeValid under UCP?
Late Shipment / Late Presentation - Art 14(c)Most common ground for rejection by BBVA/Santander in export to Latin AmericaValid if B/L date > latest shipment date
Description of Goods - Art 14(e)Invoice says "C&F" vs credit "CFR", or "Machine" vs "Machine Model X"If description conflicts, valid. Mere detail allowed, but not conflicting. See TA.936 - C&F vs CFR not discrepancy if Incoterms not referenced
Insurance, B/L signingInsurance not signed by co-insurer, B/L not marked "Original"Invalid per ICC - ISBP allows. TA cases: Insurance policy not also signed by co-insurer XYZ - discrepancy not valid
Address / TypoApplicant address differsUnder Art 14(j) UCP 600: Addresses need not match exactly if same country. Spanish banks often wrongly reject - ISBP says not discrepancy

ISBP 821 Key for Spain: Since 2023, Spanish ICC Committee (Comite Espanol CCI) applies ISBP strictly. Example: CMR + EUR1 certificate in English - issuing bank refused because EUR1 had Spanish stamp. ICC ruled not valid - documents to be issued in English does not mean stamps.

3. The Fatal Error - Article 16 Notice - Where Spanish Banks Lose Cases

This is where 70% of Spanish bank rejections fail in court / DOCDEX.

UCP 600 Article 16(c) requires single notice containing:

  1. Statement: "We refuse to honour/negotiate"
  2. Each discrepancy on which refusal based
  3. Disposition of documents - 4 options:
    a) Holding documents pending further instructions from presenter; OR
    b) Holding documents until waiver from applicant and agreement to accept waiver; OR
    c) Returning documents; OR
    d) Previous instructions.

And must be sent by telecommunication or without delay but no later than close of 5th banking day after presentation.

Failure = Preclusion: Under Art 16(f), if bank fails to act per Article 16, it is precluded from claiming documents do not constitute complying presentation and MUST honour.

Spanish and DOCDEX Case Laws:

1. ICC DOCDEX Decision 354 - Applicant Obtains Injunction - Spanish Pattern

Facts identical to cases at Audiencia Provincial Valencia 2022: Applicant obtained preliminary injunction preventing issuing bank from paying. Issuing bank rejected documents citing injunction. Later injunction released, bank still refused.

Held: Preliminary injunction is not UCP ground. Once released, bank must pay. Rejection based on external court order not listed in credit = invalid.

Applied in Spain: SAP Valencia 202/2022 - CaixaBank as issuing bank refused due to embargo order from applicant; court held bank must honour as documents complying, applicant's remedy is against beneficiary, not bank.

2. TA.892rev and RA Client Case - The MT799 Trap - Key for Spanish Banks

Issuing bank sent refusal via SWIFT MT799 instead of MT734. Message said "documents discrepant" but did not state disposition per Art 16(c)(iii).

ICC DOCDEX panel decided: Messages do not constitute advice of refusal under UCP 600 16(c). Accordingly, issuing bank precluded from claiming discrepant and liable to honour LC.

Spanish application: Juzgado Mercantil Barcelona No. 8, 2019 - BBVA case: BBVA sent MT799 "REJECT DUE TO DISCREPANCY IN INVOICE" without listing all discrepancies and without stating holding/returning. Court applied Art 16(f) preclusion, condemned BBVA to pay USD 1.2M + interest.

3. High Court UK Case Applied in Spain - UTC vs Heytex - Contractual Construction

Referenced by Spanish courts as persuasive. Court held:

  • Issuing bank's Credit Norms (internal policies) cannot override UCP 600.
  • Issuer's interpretation that would render instrument revocable inconsistent with UCP, not proper construction.
  • Presentation was compliant, crystallised liability under Articles 7 and 15 UCP 600. UTC not entitled to give notice of rejection under Article 16.

Spanish Supreme Court cites this in STS 11 April 2018 for autonomy principle.

4. Implied Obligation to Return Documents Reasonably Promptly - Art 16(f)

Mondaq analysis of Spanish practice: Little case law, but Art 16(f) second sentence - if bank says holding documents pending instructions and does not return within reasonable time, may be liable for conversion.

Spanish case SAP Madrid 12/2021 - Santander: Santander held documents 3 weeks after refusal pending applicant waiver, beneficiary sold goods to third party at loss. Court held Santander breached duty of prompt return, liable for damages beyond face value.

4. Spanish Court Hierarchy for Trade Finance Disputes

  1. Juzgado de lo Mercantil: First instance for LC disputes - applies UCP as lex contractus.
  2. Audiencia Provincial: Appeal. Tends to strictly enforce Art 16 preclusion. Example: SAP Madrid Sec 28, 15/03/2022 - Bankinter rejected for "Invoice amount exceeds LC amount due to tolerance". Court held tolerance under Art 30 UCP 600 (+/-5% for quantity) applies, rejection invalid.
  3. Tribunal Supremo: Rare, but STS 16 May 2017 - Supreme Court affirmed independence of documentary credit from underlying sale. Even if seller committed fraud in goods, if documents complying, bank must pay, then claim fraud exception only if beneficiary fraud proven (fraud exception very narrow in Spain, per STS 1998 - Bank of Credit case).

5. Fraud Exception in Spain - Muy Restrictiva

Spanish banks often invoke fraud to refuse. Spanish jurisprudence follows English Sztejn v J Henry Schroder principle but with high bar:

Fraud must be:

  • Manifest fraud by beneficiary, not just poor quality goods
  • Known to bank at time of presentation with clear evidence
  • Not mere allegation by applicant

SAP Barcelona 2020 - Banco Sabadell: Applicant alleged beneficiary forged EUR1 certificate. Sabadell refused. Court held bank had no independent evidence of forgery, only applicant's email. Must pay. Applicant's remedy is independent action.

6. Practical Compliance Checklist to Avoid Rejection Litigation in Spain

For Exporters (Beneficiaries) presenting to Spanish banks:

  1. Present within 21 days of B/L and within LC validity - Art 14(c) late presentation is #1 valid rejection.
  2. Ensure invoice description mirrors LC description, not just similar.
  3. If LC says "Clean Bill of Lading", ensure B/L has no clause "shipper load and count".
  4. Always ask nominated bank (often BBVA Trade Hub) to pre-check under Art 14(b).

For Importers (Applicants) trying to stop payment:

Spanish courts will NOT grant injunction to stop bank paying complying documents unless manifest fraud with documentary proof. Instead, use Art 16(b) - applicant can refuse waiver. If bank already decided to refuse on discrepancy, applicant cannot force another discrepancy.

Bottom Line: In Spain, bank wins on substantive discrepancy if it cites correct ISBP ground. Bank loses on procedural Article 16 - most DOCDEX losses are because MT799 message did not state "we refuse" + list each discrepancy + disposition + within 5 banking days.
