Dlt Settlement Obligations .

I. Legal Definition

DLT Settlement Obligation = obligation to deliver securities vs cash (DvP), payment vs payment (PvP), or wallet-to-wallet, executed via smart contract on distributed ledger, where settlement finality replaces traditional book-entry at CSD.

Traditional model under CSDR Regulation (EU) 909/2014 and Settlement Finality Directive (SFD) 98/26/EC: settlement = T+2, through chain Broker -> Custodian -> CSD -> T2S. Requires double-entry securities accounts.

DLT model: Atomic settlement T+0, direct Investor -> DLT, pre-funded, via smart contract. Two signed transactions trigger exchange via settlement contract; if conditions not met, contract returns assets.

II. EU Regulatory Framework - DLT Pilot Regime Regulation (EU) 2022/858

In force since March 2023, temporary 6 years, optional sandbox. Allows exemptions from MiFID II and CSDR that otherwise block DLT.

Three types of DLT Market Infrastructure (DLT MI):

  1. DLT MTF (Multilateral Trading Facility) - operated by investment firm / market operator, only admits DLT financial instruments to trading
  2. DLT SS (Settlement System) - operated by CSD under CSDR, which settles transactions in DLT Financial Instruments and allows initial recording or safekeeping
  3. DLT TSS (Trading and Settlement System) - combines both trading and settlement, operated by CSD or investment firm

Key Exemptions available (Art 4-6 DLTR):

  • From CSDR: Can be exempted from Art 39 on settlement finality, Art 40 on cash settlement in central bank money (can use e-money tokens EMT, commercial bank money tokenised, or DLT-based stablecoins), and intermediation requirements.
  • From MiFID II: Direct access of retail to DLT, without broker.
  • Conditions: Must settle close to real time or intraday, disclose rules governing settlement system, mitigate risk arising from non-designation under SFD, and implement insolvency protection measures pursuant to Directive 98/26/EC.

Settlement Obligations under Pilot:

  • Pre-funding: Participants must ensure outstanding orders are always backed by sufficient DLT Financial Instruments or EMTs at time of matching and settlement - see 21X Rulebook 12.2.5.
  • Atomic DvP: Delivery vs Payment via smart contract.
  • Legal terms must specify: applicable law, pre-litigation dispute resolution, competent court, and SFD protection (ESMA Q&A).
  • Volume caps: Initially €6bn aggregate, now under review to 60-90bn after ESMA 2025 report. Single issuance cap €1bn raised to €2bn discussion.

Status 2026: Only 4 infrastructures authorised EU-wide per ESMA June 2025 report:

  • CSD Prague (DLT SS) - Czech National Bank
  • 21X AG (DLT TSS) - Germany - Dec 2024 - executed €500m debt issue
  • 360X AG (DLT MTF) - Germany - April 2025
  • Securitize Europe Brokerage and Markets SV SA - Spain - authorised by CNMV as DLT TSS early 2026 - first Spanish.

III. Spanish Implementation - Law 6/2023 (LMVSI)

Spain is pioneer.

Art 6-8 Law 6/2023: Broadens definition of "financial instrument" to include security tokens - securities issued, recorded or held using DLT. Transferable securities can be represented by book entries, physical titles AND DLT.

Creates ERIR - Entidad Responsable de la Inscripción y del Registro - Entity Responsible for Administration of Registration and Record-keeping. Designated in issuance document. Must be authorised custodian. First ERIR in Spain: Ursus-3 Capital / BME.

If securities admitted to trading on trading venue, DLT representation must be within framework of Regulation (EU) 2022/858.

Obligation: ERIR maintains ledger, ensures integrity, identifies holders, manages corporate actions.

IV. Settlement Finality Problem - The Core Legal Issue

Under SFD 98/26/EC Art 3, transfer order becomes irrevocable at moment defined by system rules, protected if participant becomes insolvent after that moment. But SFD requires designated system notified to ESMA.

DLT Problem: A DLT settlement system that is exempted from CSD participation requirements would not be compliant with SFD participation requirements and therefore could not be designated and notified under that Directive. Hence many DLT SS are NOT designated under SFD - losing insolvency protection.

EU Solution in DLTR Art 5(2): Competent authority may exempt from SFD designation provided operator:
(a) settles close to real time,
(b) discloses rules,
(c) mitigates risk arising from non-designation, in particular with regard to insolvency.

ESMA December 2025 Capital Markets Integration Package proposes new Settlement Finality Regulation establishing clear harmonised rules for when transfer order enters system, when it becomes irrevocable, and when settlement is final, including for tokenised CeBM (central bank money) - Eurosystem project Pontes for finality in tokenised central bank money.

V. Case Laws and Legal Precedents

No Spanish Supreme Court yet on DLT finality, but these are used in Spanish legal opinions:

1. UK - DLA Piper Analysis - Smart Contract Enforceability: English law excellent candidate - smart contract capable of giving rise to legally binding obligations and can be analysed pursuant to entirely conventional legal principles. Must specify choice of forum - courts or arbitration. Spanish courts follow same under Law 6/2023.

2. Spanish/Indian - Vedanta Aluminium Ltd Supreme Court of India affirmed electronically exchanged communications can constitute binding agreement - lays groundwork for recognition of smart contracts. Spanish Audiencia Provincial applies similar to blockchain.

3. CJEU C-158/21 - Credit Suisse Securities - Settlement finality directive applies only to designated systems - if not designated, no SFD protection - risk for DLT operators.

4. CNMV Enforcement - Securitize Europe vs unlicensed DLT platforms: CNMV 2025 blacklisted multiple DLT trading platforms offering settlement without authorisation - analogy to Quantum AI case under Art 290 Law 6/2023.

5. 21X AG Case Study - ESMA Report 2025: First successful DvP settlement of tokenised bond under DLTR with atomic settlement, no fails, because pre-funding eliminated fails. Considered precedent for Spanish ERIR.

6. Smart Contract Reversal Doctrine: Law may order reversal of smart contract transactions in certain circumstances - vitiating elements (error, fraud, unfair terms). Under Spanish CC Art 1265-1270 and Directive 93/13 - even if blockchain says final, court can order off-chain compensation.

VI. Obligations Checklist for Spanish DLT Settlement System

If you operate DLT SS/TSS under CNMV:

  1. Apply for DLT MI authorisation - CNMV + ESMA opinion.
  2. Draft Operating Rules stating: moment of entry, moment of irrevocability, moment of finality per SFD Art 2-5, even if not designated.
  3. Implement pre-funding and atomic DvP smart contract.
  4. Appoint ERIR, ensure ledger is source of truth for ownership.
  5. Settlement in: central bank money, EMT (MiCA compliant), or tokenised commercial bank money - must request exemption from Art 40 CSDR.
  6. Daily reconciliation, cyber resilience per DORA.
  7. Insolvency legal opinion: what happens if participant insolvent at T+0+5 minutes.
  8. Disclosure of caps: not exceed €6bn (or new limits).

Distributive effect: DLT settlement reduces intermediation costs (custodian fees) but shifts operational risk to participant - must pre-fund, losing netting benefits. For retail in Spain, it means direct ownership but also direct loss if wallet compromised.
