Derivatives Trading Obligations (Emir Framework)

1. Legal Framework

Base Regulation: Regulation (EU) No 648/2012 - EMIR
Refit: Regulation (EU) 2019/834 - EMIR Refit
EMIR 3.0: Regulation (EU) 2024/2987 - in force Dec 2024, main obligations phased 2025-2026

Trading Obligation Legal Basis:

  • MiFIR Article 28(1): Obligation to trade
  • MiFIR Article 32: Procedure to determine which classes are subject to DTO. 3 tests must be met: 1) Subject to EMIR Clearing Obligation, 2) Admitted to trading on at least one venue, 3) Sufficiently liquid - ESMA RTS.
  • Commission Delegated Regulation (EU) 2016/2020 - RTS 4: The actual list.

2. Four Obligations Under EMIR - Where DTO Fits

A. Clearing Obligation - Article 4 EMIR: FCs and NFC+ must clear certain OTC derivatives via authorized CCP.

B. Reporting Obligation - Article 9 EMIR: All counterparties must report details of any derivative contract to a Trade Repository registered by ESMA within T+1 working day. EMIR Refit introduced 87 fields, UTI, UPI.

C. Risk Mitigation for Non-Cleared - Article 11 EMIR: Timely confirmation, portfolio reconciliation, compression, dispute resolution, daily valuation, margin exchange - Initial and Variation Margin under RTS 2016/2251.

D. Trading Obligation - Article 28 MiFIR: Once a class is clearing-mandated, it must be traded on:

  • Regulated Market (RM)
  • Multilateral Trading Facility (MTF)
  • Organised Trading Facility (OTF)
  • Equivalent third-country venue under Article 28(4) MiFIR - US SEFs and DCMs recognised by EC Decision 2017/2238.

3. Who is Subject to DTO?

  • Financial Counterparties - FC: Banks, Investment firms, Funds UCITS/AIF, Insurers, CCPs - as defined Article 2(8) EMIR.
  • Non-Financial Counterparties above clearing threshold - NFC+: As defined Article 10(1)(b) EMIR. Thresholds under EMIR 3.0: EUR 1bn gross notional for credit/equity, EUR 3bn for IR/FX/commodity.
  • Third-country entities that would be FC/NFC+ if established in EU, when trading with EU FC/NFC+.

Not subject: NFC- , intragroup transactions under Article 3 EMIR (if conditions met), central banks, post-trade risk reduction services.

4. What Classes are Currently Subject to DTO?

Only two classes remain liquid enough:

Class 1 - Interest Rate Swaps:
Fixed-to-float IRS denominated in EUR, USD, GBP - with specific tenors 28d to 50Y, fixed leg vs Euribor, Libor, SOFR, SONIA.

Class 2 - Credit Default Swaps:
Index CDS - iTraxx Europe Main 5Y and Crossover 5Y.

ESMA removed some classes in 2022 due to LIBOR transition.

5. EMIR 3.0 - What Changed for Trading Desk

Effective 2024-2026, this is critical for your desk:

  1. Active Account Requirement: EU FCs/NFC+ with > EUR 6bn notional subject to clearing must have active account at EU CCP and clear at least 5 trades in each of most systemic classes.
  2. NFC+ calculation: No longer aggregate group; per-entity basis but daily monitoring required.
  3. Intragroup Exemption: Notification only, no approval, but ESMA can object.
  4. Reporting: Single-sided reporting for FC trading with NFC- . FC becomes responsible for reporting.

6. Case Laws and Enforcement - This is where desks fail

A. Reporting Failures - Article 9 EMIR

Case 1: FCA vs Merrill Lynch International - 12 Oct 2017 [First ever EMIR fine]
Facts: Failed to report 68.5 million EMIR reportable transactions from Feb 2014 to Feb 2016. Assumed intra-group and exchange-traded futures were exempt.
Ruling: FCA fined £34.5 Million for breach of Article 9 and Principle 3. FCA Executive Mark Steward stated reporting is cornerstone of transparency.
Compliance Lesson: No exemption assumption. Every derivative including ETD must be reported. Your desk must have EMIR eligibility engine.

Case 2: ESMA vs DTCC Derivatives Repository LLC - 2019
Facts: DDRL failed to ensure integrity of data, failed to provide direct and immediate access to regulators.
Fine: EUR 186,000 and public notice. First ESMA action against a TR.
Lesson: Desk cannot blame TR. Obligation remains on counterparty to ensure data accuracy.

Case 3: ESMA vs REGIS-TR S.A. - 19 Feb 2026
Facts: 7 infringements of EMIR Art 78-80 and SFTR. Failed to have adequate policies, confidentiality, operational risk.
Fine: EUR 1,374,000 - highest ever for TR.
Lesson: Shows ESMA now actively enforcing data quality under EMIR Refit.

B. Trading Obligation & Clearing Evasion

Case 4: FCA use of Article 32a MiFIR - DTO Suspension - 2021
Facts: After Brexit, EU and UK had overlapping DTOs. UK investment firms trading EUR swaps on EU MTFs would breach UK DTO and vice versa.
Decision: FCA and ESMA both issued suspensions for certain classes and permissions for firms to trade where most liquid. Commission Delegated Regulation on suspension under MiFIR Art 32a.
Lesson: For cross-border desk - you must check both EU and UK DTO lists. Use ESMA and FCA DTO registers daily. Intragroup hedging between London and EU branches needs specific exemption filing.

Case 5: Bloomberg Trading Facility Ltd vs FCA - Reference on OTF vs MTF perimeter
Facts: Bloomberg sought to operate OTF for IRS subject to DTO. Question whether matched principal trading allowed.
Decision: OTF cannot execute DTO derivatives on matched principal basis except for non-equities with client consent and no conflict - Art 20 MiFID II. DTO IRS must be executed on MTF/RM if matched principal.
Lesson: You cannot internalize DTO flow on OTF under matched principal if you are the counterparty. Must use MTF model.

Case 6: ECJ Case C-712/19 - Scope of Intragroup Exemption
Facts: German pension fund argued certain FX forwards with affiliated non-EU entity were intragroup and exempt from clearing and risk mitigation.
Ruling: CJEU held intragroup definition under Art 3 EMIR requires full consolidation and centralized risk evaluation, and equivalence decision for third country must exist. Mere 100% ownership insufficient.
Lesson: Your back-to-back trades London-Delaware - if no equivalence, you must clear and apply DTO.

C. Market Abuse in Derivatives linked to DTO

Case 7: SEBI vs Jane Street Group - July 2025 - Indian mirror of EMIR principle
While not EU law, SEBI cited EMIR-style principle of linked cash and derivatives manipulation. Jane Street created artificial closing of Bank Nifty cash to benefit Bank Nifty options - which under EU rules would be subject to DTO.
Relevance: EU regulators now use trade surveillance linking venue-traded DTO instruments and underlying market - Art 12 MAR.

7. Trading Desk Compliance Checklist for EMIR DTO

  1. Pre-trade DTO Check: Is counterparty FC/NFC+? Is contract in RTS 4 list? If yes, block bilateral execution in OMS. Force to MTF/RM.
  2. Eligible Venue List: Maintain dynamic list from ESMA Register - Updated daily.
  3. Reporting: UTI generation per RTS, LEI renewal check, T+1 submission, pair and match.
  4. Clearing Threshold Monitoring: For NFCs, calculate 30-day rolling average every day under EMIR 3.0.
  5. Record Keeping: 10 years under EMIR 3.0 - All contracts, modifications, communications.

Breach of DTO = breach of MiFIR Art 28 = FCA can fine unlimited + MiFID investment firm authorization withdrawal. Under German law (WpHG) up to EUR 5m.
