Criminal Liability Of Bank Executives For Tax Crimes .
1. The 3 Heads of Liability
A. Direct Personal Liability
Executive as individual assessee - if you evade your own tax.
B. Vicarious Liability as Person in Charge of Company - India Sec 278B, US Responsible Corporate Officer Doctrine
Bank is the principal offender, but every person who was in charge of and responsible for conduct of business at time of offence is deemed guilty.
C. Aiding, Abetting and Conspiracy Liability
Helping clients hide income. This is where most bankers are prosecuted globally.
2. India - Income Tax Act Framework
This is the main litigation zone for Indian bank executives.
Sec 276C(1): If a person wilfully attempts in any manner whatsoever to evade any tax, penalty, or interest chargeable under this Act. Punishable with imprisonment up to 7 years and fine.
Sec 276C(2): Wilful attempt to evade payment of tax, penalty, interest. To prosecute under this there must be wilful attempt. The Explanation makes it clear that evasion by false entry or omission in books of account enables evasion.
Sec 276CC: Wilful failure to furnish return.
Sec 277: False statement in verification.
Sec 276B / 278B: Failure to deposit TDS/TCS - very common for banks.
Sec 278B - Heart of bank executive liability:
Offence u/s 276C(2) r/w 278B - wilful attempt to evade tax etc. Where company commits offence, every person who at time offence was committed was in charge of, and was responsible to, company for conduct of business, as well as company, shall be deemed guilty.
Two defences:
- Offence committed without your knowledge
- You exercised all due diligence to prevent it.
Sec 278E: Presumption of culpable mental state - court presumes mens rea, burden to prove no wilful intent is on executive.
Supreme Court latest position on Aug 28, 2025: Section 276C(1) is intended to deter and penalize wilful and deliberate attempts by an assessee to evade taxes. There must be conscious and intentional effort to evade, distinguishing from bona fide errors.
3. When Prosecution Fails - Important Limits
a) Delay is not evasion: Conduct itself would indicate it was case of delayed payment of tax. Tax along with interest was accepted. Such delay will not amount to willful attempt.
b) No tax payable = no prosecution u/s 276CC: Madras HC rule. Prosecution barred where tax payable does not exceed threshold.
c) Invalid if violates CBDT Guidelines: High Court held prosecution u/ss 276C, 277, 278B, 278E was invalid as it violated CBDT guidelines. Department circular says prosecution should be delayed during pendency of appeal if addition not confirmed.
4. US - Where Bank Executives Go to Jail
1. IRC 7201 - Tax Evasion
2. IRC 7202 - Willful Failure to Collect or Pay Over Tax - used when business withheld from employees but willfully failed to pay over
3. 18 USC 371 - Conspiracy to Defraud US
Landmark Case: US v. Raoul Weil, former Head of UBS Global Wealth Management
Weil was indicted in 2008 under 18 U.S.C. § 371 Conspiracy to commit offense or to defraud United States and it was alleged that he helped nearly 17,000 wealthy US persons hide $20 Billion in Swiss bank accounts.
A South Florida jury took only an hour to acquit former UBS AG wealth-management chief Raoul Weil. Acquittal was a major setback for Washington's efforts to crack down on offshore tax evasion. Reason: prosecution relied on subordinates testimony but lacked hard proof linking Weil to direct instruction.
But UBS itself and five ex- UBS bankers were convicted on charges of money laundering and abetting tax evasion from 2004 to 2012.
Other US patterns:
- Josephberg case: Routed substantial amounts of income through bank account in name of Almorli to evade taxes - banker liable for aiding.
- Robert Brockman case: Biggest tax evasion case in US history, charged with 7 counts of tax evasion, 6 counts of failing to file reports disclosing foreign bank accounts.
5. UK / Germany - Aiding Liability
German Law - Landmark: Decision of district court Frankfurt/Main, which had sentenced employees of Deutsche Bank for aiding a tax evasion to imprisonment, was lawful.
Principle in German law: A bank employee would be criminally liable if he thought it highly likely that bank client wanted to evade taxes and he assisted him anyway.
German BGH also ruled: An effective criminal compliance system can significantly reduce any possible fine under s 30 OWiG, even if employee has committed offence.
UK: Under Criminal Finances Act 2017, bank as entity liable if fails to prevent facilitation of tax evasion by associated person. Executive liable if consent, connivance or neglect.
6. How Bank Executives Get Trapped - 5 Case Types

| Opening benami / shell accounts for client to evade | India 276C abetment, US 7206, German StGB 27 | Personal imprisonment even if bank not charged |

7. Defence Checklist for Bank Executives in India
- Document lack of knowledge: Board minutes showing tax matters delegated to tax department, not you.
- Due diligence file: Emails showing you asked for TDS compliance certificates.
- Challenge assessment first: Get tax demand stayed/deleted in ITAT before criminal complaint starts - CBDT Instruction No. 5052 says prosecution normally after first appeal.
- No wilful element: Show delay was due to liquidity, not intent, and tax + interest deposited belatedly with no concealment.
- Compliance program: In Germany and now India, effective compliance reduces corporate fine and helps individual.
If you have a specific fact pattern - e.g., notice under 276C(2) r/w 278B issued to you as Director of a bank for non-deposit of TDS, or ED summons for facilitating client - tell me the section mentioned and date of notice, I can map exact limitation and reply draft.
