ENERGY REGULATION THROUGH DECENTRALIZED FINANCE (DEFI)
1. Introduction
Decentralized finance (DeFi) refers to blockchain-based financial arrangements that use smart contracts and digital assets to provide functions such as lending, investment, payments, asset trading and project financing with reduced dependence on traditional financial intermediaries. Applied to energy systems, DeFi could facilitate renewable-energy financing, tokenized electricity assets, peer-to-peer energy payments, decentralized investment pools and automated settlement of electricity transactions.
In South Africa, however, there is presently no separate DeFi regulatory regime specifically governing energy markets. DeFi-based energy arrangements would instead interact with existing electricity, financial-services, crypto-asset, company, consumer-protection and financial-intelligence laws.
2. Application of DeFi to Energy Systems
Renewable-energy projects require substantial capital. DeFi could theoretically allow developers to tokenize economic interests in solar farms, wind projects, battery-storage facilities or microgrids and obtain financing from distributed investors.
Smart contracts could automatically distribute project revenues or settle electricity transactions when predefined conditions are satisfied. A community solar project, for example, could theoretically issue blockchain-based tokens representing defined contractual or financial interests.
However, technological decentralization does not automatically remove transactions from legal regulation. The legal character of the token, service and underlying electricity activity remains important.
3. Financial Regulation of Crypto-Based Energy Finance
South Africa has brought significant crypto-related financial activities within financial regulation. The Financial Sector Conduct Authority (FSCA) declared crypto assets to be financial products under the Financial Advisory and Intermediary Services Act framework in 2022. Persons providing financial advice or intermediary services relating to crypto assets may therefore require authorisation. The FSCA states that crypto-asset service providers must obtain licences before conducting regulated business.
By May 2025, the FSCA reported that it had received 453 crypto-asset service-provider licence applications and approved 264, while continuing investigations into suspected unauthorised providers.
Consequently, an energy DeFi platform cannot assume that describing itself as decentralized eliminates financial-services obligations.
4. Electricity-Regulation Dimension
Where DeFi technology facilitates actual electricity generation, trading, distribution or supply, compliance with the Electricity Regulation Act 4 of 2006 and applicable regulatory requirements remains necessary.
Blockchain tokens cannot themselves substitute for electricity licences, registrations, grid codes or technical requirements. A decentralized electricity marketplace may therefore involve two regulatory layers: financial regulation of digital assets and electricity regulation of the underlying energy transaction.
This creates the possibility of overlapping supervision involving NERSA, financial regulators and other public authorities.

Energy DeFi raises concerns regarding consumer protection, cybersecurity, money laundering, smart-contract failures, market manipulation, cross-border capital movements and accountability. Decentralized governance can also make it difficult to identify who bears responsibility when an automated transaction violates electricity or financial regulation.
Regulation therefore needs to remain technologically adaptable while preserving legal accountability.
8. Conclusion
DeFi could create innovative financing and transaction mechanisms for South Africa's renewable-energy transition, particularly through tokenization, distributed investment and automated smart contracts. Nevertheless, decentralization does not create a regulatory exemption. Financial-services rules may govern crypto-related activities, while electricity legislation continues to regulate the underlying energy activity. Standard Bank and Mangundhla demonstrate that applying conventional regulatory categories to blockchain assets remains legally developing. Effective energy regulation must therefore combine technological innovation with licensing, financial integrity, consumer protection and accountable electricity governance.
